Court ruling to delay Fiat's Chrysler buyout?

We've already reported on the attempts of Fiat to purchase the remaining 41.5-percent stake in Chrysler, currently owned by the United Auto Workers' VEBA healthcare trust. And while the issues still aren't resolved, Fiat has received both a bit of good news and a bit of bad news from a Delaware judge.
The good news is that the court ruled in favor on two key arguments of Fiat's, relating to what is a fair price for the Chrysler shares. The rulings essentially slash half a billion dollars off the price of the 54,000 shares owned by VEBA, according to a report from Reuters.
The bad news is that this makes the UAW an even more difficult opponent in negotiations. Its VEBA fund is meant to cover ever escalating retiree healthcare costs, so naturally, the UAW wants to get as much money as possible. Losing a big chunk of cash isn't likely to make the union more cooperative.

Federal judge throws out GM's racketeering lawsuit against Fiat Chrysler

  DETROIT — A federal judge on Wednesday threw out a racketeering lawsuit General Motors had filed against smaller rival Fiat Chrysler Automobiles, saying the No. 1 U.S. automaker's alleged injuries were not caused by FCA's alleged violations. GM officials said in statement they "strongly disagree" with the order by U.S. District Court Judge Paul Borman, whom the automaker had sought to have removed from the case, and would appeal. "There is more than enough evidence from the guilty pleas of former FCA executives to conclude that the company engaged in racketeering, our complaint was timely and showed in detail how their multi-million dollar bribes caused direct harm to GM," GM said in a statement. The Detroit company added that Borman's decision "would let wrongdoers off the hook." GM filed the racketeering lawsuit against FCA last November, alleging its rival bribed United Auto Workers (UAW) union officials over many years to corrupt the bargaining process and gain advantages, costing GM billions of dollars. GM was seeking "substantial damages" that one analyst said could have totaled at least $6 billion. FCA had called the case meritless and asked Borman to dismiss it. On Wednesday, Borman dismissed the lawsuit "with prejudice," meaning GM cannot refile the complaint. "The direct victims of defendants' alleged bribery scheme are FCA's workers," Borman wrote of FCA. "GM's high labor costs were not an injury proximately caused by FCA's bribes, and any competitive injury that GM suffered as a result of FCA's advantage in labor costs is an indirect injury." "The dismissal of GM's complaint with prejudice earlier today vindicates our position," FCA said in a statement. On Monday, the Sixth U.S. Circuit Court of Appeals denied GM's petition to remove Borman from the case, but said the two automakers' chief executives didn't have to meet to try to settle the case as Borman had ordered. LG Chem's batteries for the 2017 Chrysler Pacifica Hybrid minivan will be the Korean company's first time engineering and manufacturing a complete battery pack in Michigan for a volume production North American plug-in hybrid. The packs include lithium-ion cells, electronics and control units. The batteries were engineered at LG Chem's Troy, Michigan facility, and will be built at the company's Holland, Michigan plant. "Our experience with entire battery packs, including cell design and manufacturing capability, as well as our expertise in vehicle integration, makes us the ideal battery supplier for the Pacifica Hybrid," says LGCPI CEO Denise Gray. "We believe our technical strengths, engineering and manufacturing expertise, position us as a leading battery and control system provider for electric vehicles today and in the future." Read more at Green Car Congress. Volkswagen Commercial Vehicles will debut its Caddy TGI BlueMotion van at the Geneva Motor Show. The van, which is suited to family, taxi or city delivery use, can run on CNG or bio-natural gas in addition to gasoline. It also features a six-speed DSG dual-clutch transmission – a first in its class. The multiple high-pressure tanks for compressed gas are located under the floor, preserving all the Caddy's precious cargo space. A TGI version of the Caddy Alltrack will also be available, initially with a six-speed manual transmission, with the DSG option arriving in the middle of 2016.
