Ford family keeps special voting rights

Ford Motor Company has a dual-class stock structure of Class A and Class B shares. The roughly three billion Class A shares are for the general public like you and me, while the roughly 71 million Class B shares are all owned by the Ford family. Each Class A share gets the shareholder one vote, each Class B share is worth 16 votes, the result being that Common Stock holders control about 60 percent of the company while the Ford family controls 40 percent even though it holds far fewer shares. The only way that could ever change would be if the Fords sell their Class B shares, but even so, Class B shares revert to Class A when sold outside the family, so they'd have to sell a whole bunch of them.
A contingent of Class A shareholders think the dual-class system is unfair, and for the past few years a vote's been held during the annual shareholders meeting to end it. It has failed every time, as it just did again during the meeting held this week. A smidge over 33 percent voted to end the dual system, outvoted by the 67 percent who are happy with the way Ford is going - unsurprising in view of a corporate turnaround that will be part of business-class curricula for years to come.
On the sidelines, Ford elected Ellen R. Marram to the post of independent director, the first woman to hold the job. The former Tropicana CEO and 20-year Ford board member replaces retiring board member Irvine Hockaday who helped bring Alan Mulally to the CEO position.

Ford hires Wall Street analyst to head global strategy

Ford has hired auto industry veteran John Casesa, 52, as the company's group vice president of global strategy, effective March 1. His job is to oversee worldwide business development and have input on investments in future products and technologies. Casesa reports directly to Ford president and CEO Mark Fields. "John knows business and the auto industry inside and out. His deep experience and relationships will help guide and shape our global strategies – particularly as we challenge today's business model and push to innovate to make us even stronger tomorrow," Fields said in a statement. Casesa has spent much of his career in some facet of the automotive business, and one of his biggest contributions was as the original author of the Car Wars forecasting report in 1991. Since 2010, he has been senior managing director of Guggenheim Partners, responsible for the company's auto investments. Before that, he was an industry analyst for 20 years, including for Merrill Lynch. Casesa has also been a product planning analyst for General Motors. In addition to his understanding of the car-making business, he understands selling them, and was the co-owner of showrooms in the Northeast previously. Car-crazy 5-year-old boy writes automakers for treasures, gets big response

Part of the beauty of children is that they can find worth in something adults might deem unworthy or overlook entirely. Five-year-old Patch Hurty didn't see garbage or a broken piece of a car when he spotted a Ford badge lying on the side of a road. He saw an artifact, a souvenir, a start to a collection he could only dream of. Ezra Dyer of Popular Mechanics tells the story of Patch and his quest to turn that one lost badge into a museum of manufacturer logos. According to the article, Hurty is a car fanatic through and through, even using car names as a way of learning to read. After finding the Ford badge near his Connecticut home, he and his mom put together a plan to reach out to dozens of automakers, confessing his love of things on four wheels. In each letter, Patch assembled a picture of himself standing next to one of the cars, and a penny to pay for whatever he hoped was sent his way. The response was unexpectedly and overwhelmingly positive. Of the more than 50 letters he sent out, including to obscure or defunct companies such as Bugatti, Suzuki, and Saturn, a majority responded with warm notes and some type of souvenir. Two of the coolest responses came from Lincoln and Bentley. Lincoln sent a sketch of a Continental (all car lovers enjoy drawing cars, right?), and Bentley sent a wheel center cap. How awesome is that? The story reminds us of something that can easily be lost in all of the negativity involved with the auto industry: Everybody is in this because of a common infatuation with automobiles.
