Bill Ford augments his power by nearly doubling stake of supervoting shares
Fri, 28 Jun 2013Bill Ford Jr. has more sway than ever over the automaker that bears his surname, as the great-grandson of Ford's founder has reportedly doubled is holdings of Class B Ford stock. According to a report from Reuters (which cites a newly discovered securities filing), he acquired some 3.7 million Class B shares from an unnamed family member.
Class B shares of Ford stock are held by descendants of Henry Ford and offer expanded voting power to their holders - Bill Ford Jr. now controls roughly 11.5 percent of the total Class B pool. Ford Jr. is also a one of five trustees that manage a voting trust that oversees the majority of these "supervoting" shares. In total, Reuters reports there are 71 million Class B shares that account for 40 percent of the voting power in the company, despite making up just 2 percent of the total volume of all Ford stock.
Ford Jr. served as Ford's CEO until 2006, when he stepped down to hire and make space for current CEO, Alan Mulally. The move to consolidate Ford family voting power, at least somewhat, is seen by many as a comforting sign with Mulally's departure from the company likely to happen in the next several years.
Ford Focus RS makes US debut in New York, hits dealers Spring 2016
Wed, Mar 25 2015Attendees at the 2015 New York Auto Show will be among the first American consumers to see the all-new, third-generation Ford Focus RS. The Blue Oval announced the super-hot hatch will make its US debut in the Big Apple next week and will arrive in dealers roughly one year from now. We've covered the raging Ford, which is being sold in the US for the very first time, ad nauseam. It debuted in early February, made its auto show debut at the 2015 Geneva Motor Show and is finally crossing the Atlantic, complete with at least 315 horsepower from a 2.3-liter, turbocharged four-cylinder. A trick, torque-vectoring all-wheel-drive system, an industry-first Drift Mode, a proper six-speed manual transmission and looks that can kill round out what we're wagering is a wildly entertaining package. On top of announcing the Focus RS will hit dealers in the spring of 2016, Ford gave us our first look at a production color. While the Geneva Focus RS was finished in the same Liquid Blue as the Ford GT, Mustang GT350R and SVT Raptor that showed up in Detroit, the hue on the NYAS car, called Nitrous Blue, is one of four that will actually be sold on the Focus RS. While we're waiting to see it in person to render our final judgment, based on pictures alone, we're smitten. Alongside Nitrous Blue, Ford will offer the Focus RS in Stealth Gray, Shadow Black and Frozen White. Malcolm Gladwell reflects on engineering, recalls, and compromise
Thu, Apr 30 2015Journalist Malcolm Gladwell has made a career taking on big, complicated topics and humanizing them to make the unwieldy understandable. He has already done this in bestsellers like The Tipping Point and Outliers, and now he has brought the same approach to automotive recalls in a long piece for The New Yorker. The article titled The Engineer's Lament is framed around an interview with the former head of Ford's recall office about the famous Ford Pinto campaign where the position of the compact's fuel tank could cause it to explode in rear-end collisions. Plus, there are detours into Toyota's unintended acceleration cases and the General Motors ignition switch problem. While all the history is illuminating, the heart of the story comes from an examination at the thought process of engineers, and how their thinking differs from other professions. Gladwell comes off as sympathetic to auto engineers in this piece. While he admits that they often approach problems in a sterile way, the writer doesn't try point that out as a failing. It's merely a fact to be understood. The story itself is quite lengthy, but well worth a read if you have the time for an insiders view into how these recalls are assessed on the inside.
