FCA-Renault merger talks: France wants job guarantees and Nissan on board

PARIS — France will seek protection of local jobs and other guarantees in exchange for supporting a merger between carmakers Renault and Fiat Chrysler, its finance minister said on Tuesday, underscoring the challenges facing the plan. Renault Chairman Jean-Dominique Senard arrived in Japan to discuss the proposed tie-up with the French company's existing partner Nissan — another potential obstacle to the $35 billion-plus merger of equals. Renault and Italian-American rival Fiat Chrysler Automobiles (FCA) are in talks to tackle the costs of far-reaching technological and regulatory changes by creating the world's third-biggest automaker. Nissan found out about Renault's merger talks with Fiat Chrysler only days before they became public, four sources told Reuters, stoking fears at the Japanese carmaker that a deal could further weaken its position in a 20-year alliance with Renault. Patrick Pelata, a former Renault chief operating officer, also criticized the deal plan for undervaluing Renault and threatening to overstretch its engineering resources. By valuing Renault at its market price, the all-share offer attributes a negative 6 billion euro value to Renault operations after deduction of its 43.4% stake in Nissan and 3.1% Daimler holding, Pelata told BFM radio. "That's hardly reasonable," he said. "And I think that shareholders, including the French state, are bound to take issue with this sooner or later." Pelata added: "FCA has big problem because they haven't invested for the future — they have no electric vehicle platform and they've done nothing in autonomous cars." MILAN/PARIS — Fiat Chrysler pitched a finely balanced merger of equals to Renault on Monday to tackle the costs of far-reaching technological and regulatory changes by creating the world's third-biggest automaker. If it goes ahead, the $35 billion-plus tie-up would alter the landscape for rivals including General Motors and Peugeot maker PSA Group, which recently held inconclusive talks with Fiat Chrysler (FCA), and could spur more deals. Renault said it was studying the proposal from Italian-American FCA with interest, and considered it friendly. Shares in both companies jumped more than 10 percent as investors welcomed the prospect of an enlarged business capable of producing more than 8.7 million vehicles a year and aiming for 5 billion euros ($5.6 billion) in annual savings. It would rank third in the global auto industry behind Japan's Toyota and Germany's Volkswagen. But analysts also warned of big complications, including Renault's existing alliance with Nissan, the French state's role as Renault's largest shareholder and potential opposition from politicians and workers to any cutbacks. "The market will be careful with these synergy numbers as much has been promised before and there isn't a single merger of equals that has ever succeeded in autos," Evercore ISI analyst Arndt Ellinghorst said. With these sensitivities in mind, FCA proposed an all-share merger under a listed Dutch holding company. After a 2.5 billion euro dividend for existing FCA shareholders - giving a big upfront boost to the Agnelli family that controls 29% of FCA - investors in each firm would hold half of the new entity. The merged group would be chaired by Agnelli family scion John Elkann, sources familiar with the talks told Reuters, while Renault chairman Jean-Dominique Senard would likely become CEO. Italian Deputy Prime Minister Matteo Salvini said the proposed merger could be good news for Italy if it helped FCA to grow, but it was crucial to preserve jobs. He did not comment on the French government's 15% stake in Renault, but an influential lawmaker from the ruling League party said Rome may seek a stake in the combined group to balance France's holding. A deal could also have profound repercussions for Renault's 20-year-old alliance with Nissan, already weakened by the crisis surrounding the arrest and ouster of former chairman Carlos Ghosn late last year. The Japanese carmaker has yet to comment on FCA's proposal.

Fiat Chrysler and Renault are in advanced partnership talks

Fiat Chrysler Automobiles and Renault are in advanced discussions about a possible alliance, according to a report from the Financial Times citing an anonymous "person familiar with the matter." The news isn't particularly surprising, as FCA has been a constant subject of merger and alliance talks for as long as many of us can remember. We've reported on a potential tie-up between these two automakers several times, as far back as 2008 and as recently as two months ago. FCA CEO Mike Manley has mentioned the company's openness to merging with another automaker. At the Geneva Motor Show a few months back, he said, "We have a strong independent future, but if there is a partnership, a relationship or a merger which strengthens that future, I will look at that." It's no secret that FCA is much stronger in the United States than it is in Europe. For its part, Renault has basically zero presence in the United States. A partnership or potential alliance between the two could shore up each automaker's weak spots and allow the group to split investment money into new technologies, including electric vehicles and autonomy. Of course, Renault is already tied up with Nissan and Mitsubishi, but that partnership has been a little tattered since the arrest of former Nissan and Renault CEO Carlos Ghosn on charges of financial misconduct in Japan. And in addition to Renault, FCA is understood to have discussed various partnership strategies with the PSA Peugeot Citroen group. What a final agreement – if there's any agreement at all – could look like between the two global automakers remains to be seen, and the report from Financial Times cautions that many different options for FCA and Renault are currently on the table. Fiat Chrysler completes sale of Magneti Marelli

Fiat Chrysler Automobiles completed its sale of components maker Magneti Marelli to CK Holdings Co., Ltd., the holding company of Calsonic Kansei Corporation. The Japanese parts supplier paid $6.5 billion (5.8 billion euros), which is a bit less than the $7.1 billion deal that was initially announced in October of 2018. According to Reuters, the price was adjusted based on Magneti Marelli's estimated financial position as of the closing date. The influx of cash allowed FCA to offer a special cash distribution to its shareholders for the first time in a decade. At ˆ1.30 per share, the payout corresponds to a total distribution of approximately ˆ2 billion. The dividend will pay out on May 30. Junkyard Gem: 1985 Bertone X1/9

Sales of the Fiat X1/9 began in the United States in 1974, and the price tag was very reasonable for a mid-engined Italian two-seater. For a time, these cars were common sights on American streets, at least in non-rusty areas. Then Americans became disillusioned with the Fiat brand, and the company folded its tent and departed the continent after 1982, not returning until 2010. Automotive dealmaker Malcolm Bricklin saw an opportunity at that point, and his company began bringing in 124 Sport Spiders badged as Pininfarinas and X1/9s badged as Bertones. Here's an '85 Bertone in a California wrecking yard. Fiat had hired Bertone to design the X1/9 in the first place, so the badging change wasn't so jarring to those Americans familiar with the car's history. Bricklin introduced Subaru cars to the United States in the late 1960s, started his own car company in the middle 1970s, then went on to bring a Yugoslavian-built Fiat 127 variant to these shores, via the same company that was already bringing in the X1/9. Power came from what amounted to a Fiat 128 engine/transaxle assembly, mounted just behind the rear window. In 1985, the Bertone X1/9 had 75 horsepower and weighed just over a ton. This car still has the allegedly valuable hardtop. I'm pretty sure that every American X1/9 owner has several of these stashed away by now. Optimistically, Bertone used a six-digit odometer in this car. 188,285 miles would have been pretty respectable in a 1985 Corolla, never mind a Fiat known for shaky electrical systems and poor build quality. I still see quite a few X1/9s in the big self-service wrecking yards, and even more 124 Sport Spiders. The seat upholstery is very stylish. I checked this car's VIN on the California smog-check database, which shows that it last passed the emissions test in 2009. Fiat Chrysler picks Google, Samsung for global connected car system

DETROIT — Fiat Chrysler said on Tuesday it will use technology from Alphabet Inc's Google and Samsung to connect all its vehicles by 2022, providing music and video and facilitating future car-sharing and self-driving capabilities. Fiat Chrysler Automobiles NV (FCA) will use Google's Android operating system globally instead of a mixture of software that varies by region, a spokesman said. The automaker will also use a cloud-based digital platform from Samsung Electronics Co Ltd's Harman unit. Unlike its rivals General Motors and Ford, FCA has spent virtually nothing on developing self-driving vehicle technology. This saves the company large amounts of money, but makes it reliant on outside parties to provide technology and systems. FCA said it will launch the new capabilities in the second half of 2019. The company said the system will aid owners "by predicting maintenance needs, locating fuel and charging stations, receiving traffic prompts and restaurant offers and providing live customer-care assistance at the push of the button." US expands probe into ZF-TRW airbag failure-to-deploy to 12.3 million vehicles

DETROIT — U.S. auto safety regulators have expanded an investigation into malfunctioning airbag controls to include 12.3 million vehicles because the bags may not inflate in a crash. The problem could be responsible for as many as eight deaths. Vehicles made by Toyota, Honda, Kia, Hyundai, Mitsubishi and Fiat Chrysler from the 2010 through 2019 model years are included in the probe, which was revealed Tuesday in documents posted by the National Highway Traffic Safety Administration. It involves airbag control units made by ZF-TRW that were installed in the vehicles. The control units can fail in a crash, possibly because of unwanted electrical signals produced by the crash itself that can disable an air bag control circuit housed in the passenger compartment, according to NHTSA documents. The electrical signals can damage the control circuit, the documents say. ZF, a German auto parts maker which acquired TRW Automotive in 2015, said in a statement that it's committed to safety and is cooperating with NHTSA and automakers in the investigation. The case is another in a long list of problems with auto industry airbags, including faulty and potentially deadly Takata airbag inflators. At least 24 people have been killed worldwide and more than 200 injured by the inflators, which can explode with too much force and hurl dangerous shrapnel into the passenger cabin. The inflators touched off the largest series of automotive recalls in U.S. history involving with as many as 70 million inflators to be recalled by the end of next year. About 100 million inflators are to be recalled worldwide. On April 19, NHTSA upgraded the ZF-TRW probe from a preliminary evaluation to an engineering analysis, which is a step closer toward seeking recalls. So far, only Hyundai and Kia and Fiat Chrysler have issued recalls in the case. Four deaths that may have been caused by the problem were reported in Hyundai-Kia vehicles and three in Fiat Chrysler automobiles. NHTSA opened an investigation in March of 2017 involving the TRW parts in Hyundais and Kias. The upgrade came after investigators found two recent serious crashes involving 2018 and 2019 Toyota Corollas in which the airbags did not inflate. One person was killed. Jason Levine, executive director of the Center for Auto Safety, a nonprofit consumer group, said the ZF-TRW case shows the auto industry thus far has learned very little from Takata.

Fiat gives 2019 124 Spider the Urbana Edition treatment

Fiat is celebrating the arrival of spring and drop-top cruising season by offering the blacked-out Urbana Edition treatment on the 124 Spider for the 2019 model year. The move follows the Urbana Edition rebranding — it was formerly called Urbana Trekking — first shown earlier this year on the 500L. The package offers dark interior and exterior accents to the convertible roadster. It comes with Black Diamond 17-inch aluminum wheels fitted with performance tires, dual exhaust tips, black exterior accents and gloss-black finishes on the A-pillar bar bezel, seat-back pillar and side mirror caps. You also get front fog lamps. Inside, the package gets you matte gray accents, plus leather and microfiber on the seats and wrapping the instrument panel and instrument cluster hood. Fiat is offering the Urbana Edition package only on the Classica model of the 124 Spider for an extra $995, which brings the total cost to $27,680 including destination. It'll be on display next week at the New York International Auto Show. Fiat refreshed the 124 Spider for 2019 by adding features including a rear backup camera, a standard seven-inch Fiat Connect 7.0 touchscreen and offering custom center-stripe design options on the entry-level Classica. The 124 Spider is heavily based on the Mazda Miata and built in the same plant in Japan, but it uses its own 1.4-liter turbocharged inline-four engine. Fiat Chrysler joins open pool with Tesla to avoid paying EU emissions fines

According to a report from the Financial Times, Fiat Chrysler has agreed to pay Tesla "hundreds of millions of euros" in order to pool their fleets together in Europe. This move will reportedly allow FCA to use Tesla's zero-emission vehicle sales to offset fines it would have to pay for failing to meet European Union carbon emissions rules, which fall to 95 grams per kilometer starting next year. According to the report, FCA joined a so-called open pool with Tesla on February 25. The electric car company created the pool and gave other automakers "the chance to join" three days prior. The pool will be valid "for several years," according to Julia Poliscanova, a senior director at the Transport & Environment lobbying group. Toyota and Mazda apparently created a similar pool on the same day, but that agreement doesn't elicit quite the same eyebrow raise since Toyota owns a five-percent stake in Mazda. It's not clear exactly how much money FCA will pay Tesla through this arrangement, but similar deals have been part of Tesla's financial strategy for years. FT reports Tesla earned more than $100 million by selling electric vehicle credits in the United States last year and close to $300 million the prior year.

FCA's new Heritage HUB showcases 250 rare Fiats, Lancias and Alfa Romeos

Fiat Chrysler Automobiles (FCA) has opened a new facility near Turin, Italy, dedicated to preserving and celebrating the company's Italian brands, as well as the historic cars each has created. It's bigger than the average Costco, and it houses more than 250 pieces of automotive art, some of which have never been publicly displayed. It's called the FCA Heritage HUB. The HUB building is itself a piece of history. FCA restored the old Officina 81 in Via Plava of the historic Mirafiori industrial district on the south side of Turin. At 161,459 sqare feet (the average Costco is 145,000 sq ft), it's a massive open space that allows for both business and pleasure. In the rafters, photos and text tell the timeline of Mirafiori, but the floor focuses on Fiat, Lancia, Abarth, and Alfa Romeo. Although part of the space is dedicated to the "Reloaded by Creators" vintage restoration sales department, the portion we're interested in is shown in the massive gallery above. FCA says it has more than 250 vehicles on display, and some have never been shown. The "central area," which explores cars from 1908 to 2008, is separated into eight themes, each of which has eight cars. The eight areas include Archistars, Concept and Personalized Cars, Eco and Sustainable, Epic Journeys, Records and Races, Small and Safe, Style Marks, and The Rally Era.
