GM, FCA retain financial advisors amid merger rumors

Well, here we go again. Despite allegedly shutting down the idea of a merger, General Motors has retained financial advisors to, well, advise it on Fiat Chrysler Automobiles' advances. GM brought in New York-based Goldman Sachs, while FCA is currently working with Switzerland's UBS. Another source told Reuters that GM was working with Morgan Stanley, as well. But what does all this mean? Well, as we know, FCA boss Sergio Marchionne still has his eyes set very much on merging his automaker to combat what he claims are the prohibitive costs that come from developing today's vehicles. And while GM has said "no thanks," to a merger, the FCA boss is still looking to shareholders of the world's third-largest automaker to force the issue. Rather than a sign of an impending merger, voluntary or otherwise, between the two automotive powers – analysts called a hostile move by FCA "beyond ambitious," after all – retaining financial advisors on both sides could be viewed as just good business. FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Takata airbag deaths prompt Stellantis to warn owners to park 275,000 cars

Two additional deaths linked to exploding Takata airbags have prompted Stellantis to issue a do-not-drive order for the 2005-2010 Dodge Charger, Magnum and Challenger, along with the Chrysler 300. The company is warning any customers who have not yet had their vehicles inspected in accordance with previous recall campaigns to park their cars until they are able to do so. This order covers more than 275,000 vehicles on the road.  No new recall has been initiated to address the faulty airbags as all of the vehicles in question are within the original population of the massive 2015 campaigns carried out by virtually every major automaker after industry supplier Takata's airbag inflators were identified as the cause of several fatalities when moisture caused them to explode rather than deploy normally in a collision.  "FCA is and has been engaged in aggressive outreach to encourage vehicle owners and custodians affected by Takata recalls to obtain service," the company's statement said. "To date, through various initiatives, the company has generated nearly 210 million standard and first-class letters, courier deliveries, e-mails, text messages, while also making phone calls and home visits." Stellantis insists that its dealers have more than enough replacement inflator inventory to cover all outstanding vehicles on the road and is encouraging owners to schedule their service as quickly as possible; the company says the replacement procedure for a defective airbag inflator normally takes less than an hour.
