Fiat seeking $10B in financing to buy Chrysler

As Fiat looks to become the full owner of Chrysler, all it has standing in its way is the retiree trust of the United Auto Workers, which currently holds the remaining 41.5 percent of the company as the result of the Pentastar's bankruptcy deal. The Detroit News is reporting that that Fiat is currently talking to numerous banks in an attempt to raise around $10 billion to fund the purchase of Chrysler's remaining stake with enough left over to refinance the debt of both companies. We've known that Fiat has been working to obtain the capital to buy out Chrysler for some time now, but this is the first time we've seen Fiat tip its hand about how much cash it thinks it will need to close the deal.
The first order of business is a legal dispute over the value of the UAW's stake in Chrysler, which the report indicates could cost Fiat around $3.5 billion. The acquisition of remaining shares could happen by this summer, but it sounds like CEO Sergio Marchionne (above) might not be ready for a full merger until next year.

Chrysler recalls 112k family-haulers over airbag controllers

The Basics: Chrysler has issued a recall for an array of minivans and crossovers manufactured in 2007 and 2008. The models affected include the 2009 Dodge Journey, 2008-09 Dodge Grand Caravan, and 2008-09 Chrysler Town and Country. The 2009 Volkswagen Routan, which was manufactured by Chrysler, is also being recalled by FCA. The automaker estimates that 112,001 units in the United States are affected, all told. The Problem: Corrosion in the air bag control unit could prevent the air bags from deploying in the event of a crash, or alternatively deploy prematurely. Chrysler points out that "none of the affected vehicles are equipped with ammonium-nitrate inflators" like those fitted by Takata. Injuries/Deaths: The manufacturer reports seven minor injuries (but no accidents) potentially related to this issue. The fix: Chrysler will replace the air bag control unit, though it has not yet outlined a timeframe for doing so. Marchionne emailed Barra about merger between FCA and GM

Sergio Marchionne is adamant that global automakers will have to merge to remain profitable in the near future, and he'll tell that to anyone who's listening. Mary Barra, however, is not interested. According to The New York Times, the Fiat-Chrysler chief proposed a merger with General Motors via email to his counterpart back in March. Marchionne proposed meeting to discuss the matter, but Barra and her team reportedly rejected even entertaining the idea. This of course is not the first time Marchionne has raised the idea of a merger. He masterminded the marriage between Fiat and Chrysler, and reports have since suggested further mergers with Volkswagen, Peugeot, Ford, and others – including GM's own Opel unit. Some have taken his calls for consolidation as a weakness, but Marchionne insists that his empire is in good health – and that it's the industry as a whole which is in an untenable position. According to his view, automakers around the world need to align themselves into larger groups in order to reduce redundancy in investment, development and infrastructure – the duplication of which he terms as wasteful. "It's fundamentally immoral to allow for that waste to continue unchecked," said Marchionne to the Times. "I think it is absolutely clear that the amount of capital waste that's going on in this industry is something that certainly requires remedy," he said in a conference call with industry analysts late last month following the rejected GM approach.
