VW makes $9.2B offer for rest of truckmaker Scania

Volkswagen owns or has controlling interests in three commercial truck operations: besides its own, VW began buying shares in Sweden's Scania in 2000 and now controls 89.2 percent of its shares and 62.6 percent of its capital, then bought into Germany's Man in 2006 - in order to prevent Man from trying to take over Scania - and now owns 75 percent of it. The car company has managed to work out 200 million euros in savings, but believes it can unlock a total of 650 million euros in savings if it takes outright control of Scania and can spread more common parts among the three divisions.
It has proposed a 6.7-billion-euro ($9.2 billion) buyout, but according to a Bloomberg report, Scania's minority investors don't appear inclined to the deal. Although effectively controlled by VW, Scania is an independently-listed Swedish company, and a profitable one at that: in the January-September 2013 period its operating profit was 9.4 percent compared to Man's 0.4 percent. Some of the other shareholders believe that Scania is better off on its own and will not approve the deal, some have asked an auditor to look into the potential conflict of interest between VW and Man, while some are willing to examine the deal and "make an evaluation based on what a long-term owner finds is good," which might not be just "the stock market price plus a few percent." The buyout will only be official assuming VW can reach the 90-percent share threshold that Swedish law mandates for a squeeze-out.
Many of the arguments against boil down to investors believing that Scania's Swedishness and unique offerings are what keep it profitable, and ownership by the German car company will kill that. (Have we heard that somewhere before?) If Volkswagen can buy that additional 0.8-percent share in Scania, perhaps its buyout wrangling with Man will give it an idea of what it's in for: "dozens" of minority investors in the German truckmaker have filed cases against VW, seeking higher prices for their shares. It is likely only to delay the inevitable, though. If VW is really going to compete with Daimler and Volvo in the truck market, it has to get the size, clout and savings to do so.

VW walks away from Aurora after self-driving startup partners with FCA

BERLIN — Volkswagen has ended its partnership with self-driving car software firm Aurora, two days after the Silicon Valley start-up said it would build autonomous platforms for commercial vehicles with Fiat Chrysler Automobiles. "The activities under our partnership have been concluded," a VW spokesman said in a statement on Tuesday following an earlier Financial Times report on the move which said VW now wanted to work with Ford Motor Co on autonomous driving. Ford's majority-owned subsidiary Argo AI is building an automated "driver" that could compete with Aurora's technology. Aurora said Tuesday "Volkswagen Group has been a wonderful partner to Aurora since the early days of development of the Aurora Driver." The company's statement added that it continues to work "with a growing array of partners." The autonomous vehicle industry is still in its infancy, and alliances and strategies are fluid. Aurora has sought to remain independent and serve a number of would-be autonomous vehicle makers rather than be acquired. Aurora, which said in February it had raised $530 million in new funding, also has partnerships with Hyundai Motor Co and China's Byton to develop and test self-driving systems for automakers, fleet owners and others. After announcing its partnership with Aurora in early 2018, VW last June began discussions with Ford to develop a range of commercial vehicles, later extending the discussions to include electric vehicles and Argo's autonomous driving technology as part of an alliance designed to save billions in costs. I'm Senior editor Greg Migliore and this is your Autoblog Minute Weekly Recap. Volkswagen has been removed from the DOW Jones Sustainability Index, or DJSI. A decision that takes effect on October 8th. Removal from this key index is yet another black eye for the embattled automaker and it [00:00:30] indicates VW's fall as a company leads the way in economic, environmental and social performance. Ever since the emissions scandal broke the world's top selling automaker's stock has struggled. Reports estimate VW's losses to be a staggering 30.8 billion dollars. Tesla rolled out the Model X this week. A live web-stream showed us what to expect. Like, how the Falcon Wing doors adapt to tight parking spots and low garages. Towing capacity [00:01:00] was also demonstrated. The CUV is said to be able to haul 5,000 pounds, while carrying 7 passengers and luggage. Still, there was no mention of how towing would affect battery life or the range of the all electric crossover. The Model X also boasts a giant air filtration system with a "Bioweapon Defense Mode," a feature that is said to protect passengers against bacteria, harmful gasses and as Elon Musk joked, possible apocalyptic events.
