FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Tesla is seeking approval for a limited-service showroom - or "Gallery" - in San Antonio, TX. The area's News 4 discovered the proposal in a schedule for the San Antonia planning commission. Texas laws don't allow Tesla to sell directly to consumers, so the gallery would offer the public a chance to see the car in person, but not take a test drive or get pricing information. The Tesla Gallery could be a foothold for Tesla in the San Antonio area, which, according to Bexar County Judge Nelson Wolff, would be a positive addition to the city and its future. Kansas City Power & Light Company (KCP&L) will install over 1,000 ChargePoint EV charging stations in the greater Kansas City area. This will be the largest charging installation by a utility company in America. Drivers will be able to use these stations, which will be built by the end of this summer, for free for the first two years. The first 15 stations will be fast chargers provided by Nissan. KCP&L expects the charging network to help drive down electricity costs for customers in general. "People generally charge their cars at non-peak periods when KCP&L's electrical grid is being underutilized," says Natural Resources Defense Council Senior Energy Economist Ashok Gupta. "By stimulating electric vehicle adoption with their Clean Charge Network, what KCP&L is doing is encouraging people to use the electrical grid more efficiently and drive down the cost of electricity for everyone." Numbers don't lie. And in some instances, you can see their truth from miles away. As everyone expected, the Nissan Leaf is now officially the best-selling plug-in vehicle in the US. While the two vehicles aren't direct competitors (one's a pure EV and the other is a plug-in hybrid), they certainly dominate the plug-in vehicle sales charts. When we do a little math on those charts, we see that since the two vehicles went on sale at the end of 2010, the Volt has sold 75,231 units while the Leaf is now at 76,407, giving the Leaf a 1,176-vehicle lead. The Leaf trailed the Volt by just two units at the end of February. This is the first time the EV had held the overall lead since the end of February 2012, when it was ahead 10,847 to 9,623 and for a while there at the end of 2013, the Volt was up by around 12,000 units. Times have changed, though, and we don't expect the lead to switch back until the next-gen Volt goes on sale later this year, and even then nothing is certain. The Leaf sold 1,817 copies last month, a drop of 27.5 percent from last year. Year-to-date, the Leaf has sold 4,085 units, down 21.2 percent from the same time period in 2014.
