FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Michigan is one of those places where we can sub-divide the seasons into good and bad portions, with each producing a noticeable shift. The week prior to my time in the 2014 Nissan 370Z Nismo, it was 65 to 70 degrees and sunny, all week long. Anyone care to guess what the following week was like?
Windy, cold and damp weather typified my week in the Z, with temps hovering around 55 degrees and several days of showers. Yes, I got the first week of the bad part of fall. The Z was hardly happy during its time with me, but we both persevered, and I made a point of sprinting out to the garage anytime the ground seemed remotely dry enough to test this striking two-seater. That enthusiasm waned quickly, though, as the week wore on.
By all accounts, the Z is a car that I should like. It's an uncompromising sports car, but as I discovered during my travels, sometimes a little compromise is welcome, and living with a car like the Z - particularly the angrier, Nismo-tuned model - quickly becomes a case of too much of a good thing.

Lebanon has 40 days to figure out what to do with Carlos Ghosn

BEIRUT — Lebanon and Japan have about 40 days to decide whether ousted Nissan boss Carlos Ghosn will be extradited to Japan or stand trial in Lebanon, a judicial source and a source close to Ghosn said on Thursday, following his escape from Japan. Ghosn fled to Lebanon, his childhood home, as he was awaiting trial on charges of under-reporting earnings, breach of trust and misappropriation of company funds, all of which he denies. Japan and Lebanon have no extradition agreement, and Lebanon does not typically hand over its nationals. Ghosn's legal team is hoping to hold the trial in Lebanon, where the former auto executive has deep ties and hopes to clear his name. Japan has in recent days asked Lebanon to clarify what files Tokyo needs to send as part of an official extradition request, the two sources said. "They came back and requested a clarification. Today, we sent that to the Japanese," the judicial source said. That communication is significant because, according to Lebanon's rules for dealing with Interpol notices, it triggers a roughly 40-day period by the end of which agreement must be reached between the countries on where and how Ghosn will stand trial, the sources said. Japan must now either send a formal extradition request to Lebanon or send Ghosn's file to Beirut and agree on a process for trying him there, the source close to Ghosn said. An Interpol spokesperson said on Friday the organization did not itself dictate a timeframe or require any action to be taken by countries and such a framework is set locally. Ghosn, who holds Lebanese, French, and Brazilian nationality, was questioned earlier this month by Lebanese prosecutors who confiscated his passport and imposed a travel ban as part of the Interpol arrest warrant process. The source close to Ghosn said the former executive can appeal to Lebanon's prosecutor to drop the ban and return his passport if Japan does not respond within the timeframe. Japanese prosecutors have said they are still pushing for Ghosn to be tried in Japan. Ghosn has struck out at what he has called Japan's unjust judicial system and said the alternative to fleeing would have been to spend the rest of his life languishing in Tokyo without a fair trial.
