Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

The Nissan Patrol may become America's next Armada

Plausible rumors are swirling that the Nissan Patrol, the Land Cruiser rival sold outside of North America, might come to the US as a replacement for the unrelated Nissan Armada. That large SUV's future was left ambiguous after the news of the Xterra's discontinuation, as Nissan's press release ominously promised information on the Armada "at a later date" without further elaboration. That left us scratching our heads and thinking that, perhaps, it would be quietly killed off in the future. If the rumors are true, it will be. And then it will be reborn. It'll join its old platform-mate, the Infiniti QX80, on the Patrol platform. The QX abandoned its Titan-based platform in 2011, becoming the Patrol-based QX80. So you can think of the Armada as catching up, a few years late. The QX80 was refreshed last year, a mainly cosmetic nip-and-tuck. The Infiniti utilizes the 5.6-liter, 400-hp V8 and a 7-speed auto, so it's a safe bet that this powertrain will make it into the Armada version. Less likely, but plausible, would be the availability of the new powertrains intended for the Titan XD and upcoming lower-grade Titans. The massive SUV market tends to be a bit conservative, so the Cummins diesel V8 that's the sole engine in the Titan XD right now seems unlikely. The forums are abuzz with a photo of what's purported to be a leaked marketing image of the new Armada, so head to this TitanXDForum thread if you'd like to see what that's about. Nissan and NASA team up on autonomous zero-emissions test fleet

Nissan and NASA have announced a collaboration on autonomous vehicles that, if we're honest, makes more sense to us than Infiniti partnering with Red Bull. The two are commencing a five-year R&D program to explore autonomous drive systems, human-machine interfaces, network-enabled applications, and software analysis and verification. What's more: the test fleet will be zero emissions and rolling around NASA's Ames Research Center by the end of this year. We will assume that means autonomous Leafs, but Nissan could be working on a new vehicle for the purpose. Nissan CEO Carlos Ghosn said the company will begin offering autonomous features "beginning in 2016," and wants to have commercially available self-piloting vehicles that can "navigate in nearly all situations," including urban environments, by 2020. Who better to assist than the people who put a self-driving rover on a planet that never gets closer than 34 million miles away? What does NASA get out of it? Access to Nissan's materials and component developments, prototyping systems, and robotic software test beds. Sounds like everybody wins. The press release below has more information. Researchers from the two organizations will test a fleet of zero-emission autonomous vehicles at Ames to demonstrate proof-of-concept remote operation of autonomous vehicles for the transport of materials, goods, payloads and people. For NASA, these tests parallel the way it operates planetary rovers from a mission control center. The first vehicle of that fleet should be testing at the facility by the end of 2015.
