Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Because of the Eclipse Cross' in-between nature, though, there's not really an obvious direct competitor. As such, we've selected a diverse group of small crossovers that are similar to the Eclipse Cross in some but not all key areas: size, price, feature content, style and likely buyers. The 2018 Subaru Crosstrek, 2018 Toyota C-HR and 2018 Nissan Rogue Sport each have elements in common, but are different enough to provide useful points of comparison. Engines and Drivetrains One of the Eclipse Cross' biggest advantages in this segment will be its engine. Subcompact crossovers, including the other three we've chosen, are sluggish to say the least. This new Mitsubishi should be different as it packs a turbocharged 1.5-liter four-cylinder that belts out a whopping 184 pound-feet of torque. We say whopping, because the C-HR, Crosstrek and Rogue Sport all have between 139 and 147 pound-feet. Horsepower is similarly unimpressive at just 152 horsepower - the same as the Crosstrek - but that torque should make passing and on-ramp runs much more satisfying. The appeal of crossovers for many people is the availability of all-wheel-drive, and this is where the Subaru gets an advantage. Like with all Subarus that aren't a BRZ, the Crosstrek has standard all-wheel drive. The Mitsubishi comes close, making all-wheel drive standard on every trim level except the very base ES trim level. On the Rogue Sport, all-wheel drive is an option on all trim levels. Depending on where you live, though, being able to have front drive on a high-trim crossover could be a plus because it will save some money and improve fuel economy. The C-HR loses this battle as it's only available with front-wheel drive.

Just a few weeks ago, Nissan announced that its customers have driven over a billion electric kilometers in the four years that the world's best-selling EV has been on the road. That heady milestone means, Nissan says, that the Leaf has saved 180 million kilograms of CO2 emissions around the world. The billion kilometers have been split among the 147,000 Leaf vehicles that Nissan has sold. Well, not really, since the billion kilometer total only counts Leaf EVs registered with CarWings, which Nissan says is 54 percent of the total sales. That's 79,380 cars and results in an average – and it's only a rough average, but what're you gonna do? – of 12,597 miles per car. Let's keep that number in mind for a minute. Today, despite going on sale a year and a half after the Leaf (June 2012 versus late 2010), Tesla Motors Tweeted today that Model S drivers have hit the same numerical milestone. Tesla didn't say how many of its vehicles were involved in its count, but we think that Tesla has sold at least 50,000 Model S electric vehicles globally (about 2,650 in 2012, 22,450 in 2013, 21,821 for 2014 through the end of September), so we'll estimate a rough average for each Model S of 20,000 miles.
