Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Nissan considering 200-mile Leaf to take on Chevy Bolt?

With 30,200 units sold, the Nissan Leaf posted its best year ever in the US in 2014. However, Nissan needs to keep looking over its shoulder because the Chevrolet Bolt Concept from the 2015 Detroit Auto Show clearly has success EV in its sights. Chevy claims that for roughly the same price (after incentives) as a Leaf, the future Bolt could offer a 200-mile range. Although, evidence continues to mount that the Japanese brand is hard at work on its next-gen electric hatchback capable of significantly longer driving distances. According to TheDetroitBureau.com, the next Leaf will reportedly debut in about two years and will be offered in a high-output version with 200 miles or more of range. It will all be possible thanks to new lithium-ion batteries with lower weight and higher power density. If accurate, the changes would more than double the model's current EPA-estimated 84-mile range and put the hatchback on sale at roughly the same time as the Bolt's debut, if it happens. "We want to be competitive," said Nissan CEO Carlos Ghosn to TheDetroitBureau.com during the Detroit Auto Show. "It may have even more range." In another speech, he also predicted that the company's EVs would become even more affordable. The statements are hardly a surprise from the company boss. Ghosn is a big proponent of electric power over other zero-emissions alternatives because it is cheaper overall, among other reasons. The latest speculation about battery innovations from the next Leaf actually echoes earlier leaks about the car. Ghosn suggested during a Japanese TV interview that the range could double for the new generation, and an unnamed engineer believed that 250 miles of driving was at least possible. Nissan reveals radical BladeGlider concept for Tokyo debut

Radical reinvention of the automobile doesn't happen very often. There's a reason they refer to it as "reinventing the wheel", after all. But that's what a team of racecar designers did with the original DeltaWing concept in 2010. Originally proposed as an IndyCar racer, the project was subsequently redesigned for Le Mans. That's when Nissan got on board, supported the project for a few races, then took the design in its own direction with the ZEOD RC. And now it's taking it to the road... via the auto show.
What we have here is the BladeGlider concept, a proposal for a delta-shaped electric sportscar which Nissan will present at the Tokyo Motor Show in a couple of weeks. Designed to focus on driving pleasure, the BladeGlider is about as radical as they come. Like the DeltaWing and ZEOD RC, it's got a narrow front track and wide rear to minimize drag and optimize stability, packing a 1+2 seating arrangement to put the driver front and center like in a McLaren F1, with upward-swinging doors and underbody aerodynamics to keep it glued to the road. In-wheel motors (of unspecified output) provide the power, a lightweight lithium-ion battery (not to mention the carbon-fiber bodywork) keeps it all fearther-like, and weight distribution is heavily biased towards the rear at 30:70.
A radical concept, to be sure, but here's the kicker: Nissan wants to build it. As you can see from the press release below, the BladeGlider "is both a proposal for the future direction of Nissan electric vehicle (EV) development and an exploratory prototype for an upcoming production vehicle". While it would undoubtedly take some time to develop, much less certify for road, seeing one of these - or even better, driving one - on our favorite stretches of tarmac strikes us as a prospect worth waiting for.
