Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Nissan could upgrade current GT-R yet again

We're pretty sure one is coming, we think it will be sometime around 2018, it could have a hybrid powertrain with an evolution of the 3.0-liter, twin-turbo V6 used in the GT-R LM Nismo endurance racer, and there's a chance its looks will point in the direction of the Nissan Concept 2010 Vision Gran Turismo concept. Oh, and rumor is that no matter what comes next, Nissan-Renault CEO Carlos Ghosn wants to sell more of them every month; GT-R sales are up about 40 units through August compared to last year, but that's still just 891 examples. What's Nissan going to do with the current GT-R for the next three years? According to a chat Top Gear had with Phillipe Klein, the company's head of product planning, Nissan can do more with the R35. Klein said, "We are very serious about this vehicle and its future," and, "There is still development potential there, always." That could mean any number of things, since we never have any idea what Nissan is going to do or not do with the GT-R. If Klein is talking about engineering more performance from this package and it's 3.8-liter, twin-turbo V6, does that mean a notable increase in horsepower for the standard version, or does that mean a super-duper edition hotter and faster around the 'Ring than the 600-hp, $149,990 GT-R Nismo? Or is it something else – because, frankly, the GT-R has plenty of performance right now and it's not the coupe's stat-sheet numbers that are holding it back. Intel-Mobileye tech in 2M BMWs, VWs, Nissans will crowdsource maps for autonomy

Intel Chief Executive Brian Krzanich said on Monday 2 million vehicles from BMW, Nissan and Volkswagen would use its unit Mobileye's technology to crowdsource data for building maps that enable autonomous driving. The world's largest chipmaker bought Israeli firm Mobileye last year to compete with peers such as Qualcomm and Nvidia Corp and tap the fast-growing market of driverless cars, filled with a complex tangle of alliances. (VW, for example, is also working with Nvidia.) Krzanich was the keynote speaker at the Consumer Electronics Show. He said data from Mobileye's Road Experience Management software would gather data to build and update scalable high-definition maps. He also announced that Intel would be working with Ferrari on AI drones to cover Ferrari Challenge North America Series racing. The drones would provide video of the races, but ultimately they would provide drivers with data — video that would let them see their racing performance from overhead, but also telemetry information about, say, how they enter and exit a turn. Intel will also tie up with SAIC Motor Corp, which will use Mobileye technology to develop Level 3, 4 and 5 autonomous cars in China, the chipmaker said. Krzanich also said Intel had not received any information of customer data being compromised so far after the company confirmed last week that security issues reported by researchers in its widely used microprocessors could allow hackers to steal sensitive information from computers, phones and other devices. Security researchers had disclosed two security flaws exposing vulnerability of nearly every modern computing device containing chips from Intel, Advanced Micro Devices and ARM Holdings.
