Nissan board meets but doesn't pick a replacement for Ghosn

YOKOHAMA, Japan — Nissan's board met Monday but failed to pick a new chairman to replace Carlos Ghosn, who was arrested last month on charges of violating financial regulations, saying more discussion was needed. Nissan Motor Co. Chief Executive Hiroto Saikawa told reporters that the board approved a special committee of outsiders to strengthen governance at the company. A date for the selection of a chairman was not decided. "We plan to be cautious in this process, and I do not plan to rush this," Saikawa said. The recommendations for beefing up governance are due in March, and Saikawa said he was willing to wait until then to choose a chairman. The board meeting came amid an unfolding scandal that threatens the Japanese automaker's two-decade alliance with Renault SA of France and its global brand, and highlights shoddy governance at the manufacturer of the Leaf electric car. Ghosn and another board member Greg Kelly were formally charged last week with falsifying financial reports in underreporting Ghosn's income by about 5 billion yen ($44 million) from 2011 to 2015. They were arrested Nov. 19 by Tokyo prosecutors and remain in detention. A source close to Ghosn's family says Ghosn is innocent, as the alleged income was never decided upon or paid. Aubrey Harwell, the U.S. lawyer for Kelly, an American, says he is innocent, and that Nissan insiders and outside experts had advised him that the financial reporting was proper. The chairman must be selected from among the board members. Three outside board members — race-car driver Keiko Ihara; Masakazu Toyoda, an academic; and Jean-Baptiste Duzan, formerly of Renault — are making that decision. The special committee for governance includes the three outside board members and four other outsiders, including former judge Seiichiro Nishioka. One candidate for chairman is Saikawa, who was hand-picked by Ghosn to succeed him as chief executive. He has denounced Ghosn and Kelly as the "masterminds" in a scheme to falsify income reports and abuse company money and assets. Renault has kept Ghosn as chief executive and chairman, saying its investigation has not found wrongdoing in the awarding of Ghosn's compensation. Saikawa called on directors at Renault to heed its reasons for sacking Ghosn, but Renault's interim chairman Philippe Lagayette said on Friday that its board had not considered a replacement.

Ghosn has lived in Lebanon, where he has citizenship, ever since. To this point Lebanon has refused requests to extradite him. The Apple TV+ documentary will cover all of this, with never-before-seen footage and interviews. Mike Taylor, the former Green Beret who helped Ghosn escape, will tell his side of the story alongside Ghosn and others. The film has been executive produced by James Gay-Rees and Paul Martin from Formula 1: Drive to Survive. GhosnÂ’s background puts perspective on the story. He worked for 18 years with Michelin North America, where he was ultimately appointed as chief executive in 1990. In 1996, he joined Renault, and played a pivotal role in the alliance formed between Renault and Nissan. In mid-2001, he was appointed as NissanÂ’s new chief executive, and by 2005 he was running both Nissan and Renault. But in 2018 he was arrested at the Tokyo International Airport on allegations of under-reporting his salary and misusing company assets. He was subsequently arrested three more times on similar charges. He was held in and out of Japanese prison through much of 2019 before he was released on bail that April, eight months before his escape. Ghosn recently filed a lawsuit against Nissan, seeking more than $1 billion from the company. He accuses the automaker and others of defamation and fabricating evidence. 2014 Nissan Dayz Roox is the littlest high-roof van you ever did see

Even average production cars from Japan often seem very conceptual to US eyes. Throw in typical, nonsensical-quasi-English-words name like "Dayz Roox" and you'd be forgiven for thinking this Nissan box on wheels was still a designer's dream. But the fact is that the Nissan Dayz is a model currently on sale, and this Roox version is the latest take on the micro-van, which is a popular segment in Japan.
In fact, this generation of Dayz is the first minicar that Nissan has developed completely in-house, and the thing has been selling astoundingly well in its first stint on the market (30k units in month one month, says Nissan). So it's unsurprising that the company is looking to expand the range with a model that is more fully featured.
The Roox (we have no clue as to where that name came from, or what it means) would appear to be a high-roof version of the three-cylinder Dayz minicar - in fact Nissan goes so far as to call it an "Impressive Super Height Wagon." Features like automatic sliding doors, Around View Monitor and UV-insulated glass are all luxuries in kei-class car. The press release also specifies that the Roox is tall enough to swallow a 27-inch bicycle.
