Mitsubishi, Nissan will build mini EV together

That minicar project that erstwhile competitors Nissan and Mitsubishi launched about four years ago is about to go a little more maxi. NMKV Co., the joint venture established in June 2011 by the two Japanese automakers to make minicars, is going to get more resources specifically to ease a move into the electric-vehicle sector. Specifically, Nissan, which makes the all-electric Leaf, is going to have a bigger role in the testing, design, and development of the partnership's mini EVs. A memorandum of understand between Nissan and Mitsubishi, maker of the i-MiEV, is in the works. So far, the joint-venture has sold about 500,000 gas-powered three-cylinder compact vehicles under the two automotive brands, so it must be doing something right. The first Nissan Dayz and the Mitsubishi eK Wagon models started production in 2013. Sales of the Nissan Dayz Roox and Mitsubishi eK Space, which went the higher-roof route, began early last year. Nissan and Mitsubishi started making noise about this last summer, when word came out that the little EV may be priced at less than $15,000 in Japan, quite a bit cheaper than either the Leaf or the i-MiEV over there. As with the current models, the future minicar variants will be produced at Mitsubishi's Mizushima factory in Japan. So far, the partnership would only say that details about NMKV's next-generation mini EV will be released "at a later time," so specifics like range and other performance measures will have to wait. The three companies will soon sign a memorandum of understanding. The companies aim to develop more competitive products by optimizing resource allocation and their respective roles and responsibilities. Nissan will be more deeply involved in development operations, such as design development and testing. In addition to its product planning and project development roles, NMKV will strengthen its management capabilities by adding a new department to enhance collaboration with engineering and manufacturing functions. Vehicle production is planned to continue at Mitsubishi's Mizushima Plant.

Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Ghosn: 'We are getting there' on making Nissan Leaf profitable

After 19 months in a row of record sales in the US, the money picture for the Nissan Leaf is steadily improving. To date (well, until the end of September), Nissan has sold 63,944 Leaf EVs in the US and a total of around 140,000 globally. The company produces the electric vehicle in three countries: Japan, the UK and the US and has sold more standard passenger EVs than any other automaker. Add all that up and you get to an EV that is just about to be profitable. "We are getting there [to Leaf profitability]," Ghosn told Automotive News. "Are we amortizing and depreciating everything we have spent? No. But if you look at margin of profit – the direct cost of the car and the revenue of the car – we are getting into positive, which is good for this technology." Automakers are notoriously closemouthed when it comes to sharing specifics about the higher cost of alternative vehicle technologies compared to standard ICE vehicles. Still, statements like this – as well as a knowledge about how long it took Toyota to make money from the Prius and overall industry amortization – show that Nissan could well be sitting pretty when it comes to keeping EVs around for the long term.
