Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Hyundai first revealed the new 2018 Hyundai Accent a few months ago, but that debut was in Canada for the Canadian-market car. We didn't get our look at the U.S. version until just recently, which is when we also finally got plenty of specifications on the little car. So as we did with the Genesis G70, we've brought you a breakdown of the Accent's specs and some of the segment's best and most popular: the Nissan Versa, Kia Rio, Chevrolet Sonic and Toyota Yaris iA. Before we get to the chart, let's give you a quick reintroduction to the 2018 Accent. The subcompact is completely new this year, and under the hood is again a naturally aspirated 1.6-liter four-cylinder engine. It makes 7 fewer horsepower and 4 fewer pound-feet of torque than the outgoing model with totals of 130 horsepower and 119 pound-feet. This drop in power probably won't be noticeable, though. It's also available with either a manual or automatic transmission, both featuring six speeds. Fuel economy hasn't been announced, but the Rio's numbers below are probably a good indicator as they share powertrains. The one thing that isn't available with an Accent is a hatchback. According to Autoweek, the hatchback was canned with the assumption that hatch buyers would simply purchase an example of the upcoming Kona crossover. But if you want a traditional subcompact hatch from South Korea, Kia is happy to oblige, as the Rio is still available as a hatchback. Learning that the Kona may have killed the Accent hatch causes us to wonder if Kia brought the Rio hatch to the U.S. because it wasn't planning on offering the Stonic. Hyundai plots a Nissan Juke fighter

A few years ago, Hyundai Motor America CEO Dave Zuchowski suggested interest in taking on the Nissan Juke with a subcompact crossover. It looks like that project is coming together, as we caught Hyundai testing a small, curiously-styled SUV in Germany recently. The SUV is expected to share a lot of the same chassis components as the i20, a hatchback that's sold in other parts of the world, with the same engine lineup as the new i30, another hatchback that Hyundai doesn't sell in the America. In the United Kingdom, the i30 is available with engines including a 1.4-liter gasoline and a 1.6-liter diesel unit. Front-wheel drive would be standard with all-wheel drive an option. The heavily-camouflaged prototype doesn't give away a lot of the SUV's design. The front of the vehicle is hidden away, but what we can see the grille features hexagonal shapes instead of the horizontal bars that we've become accustomed to seeing in Hyundais. The headlights mimic the Jeep Cherokee's design with thin slits on top and larger, round units toward the bottom. At the back, camouflage hides the majority of the prototype, but the taillights appear to be different than the rest of Hyundai's offerings. The outline of the taillights resembles the same units found on the Intrado Concept, indicating the vehicle will get some design cues from the hydrogen-powered prototype. A single exhaust outlet protrudes underneath the rear end. The overall profile of the SUV appears to be smaller than the Tucson, which is currently Hyundai's smallest crossover in the US.
