Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

2014 Nissan Altima gets updated equipment, prices

The fifth-generation Nissan Altima is heading into its second year, and to mark the occasion, it's getting updated pricing, some visual and tactile enhancements and new option packages. First up are the physical changes: All 2014 Altima models will have chrome exhaust tips, revised seat cloth (when not fitted with leather) and better noise isolation. Check the option box for the new Sport Value Package, and the Altima also will come equipped with 16-inch aluminum alloy wheels, a rear spoiler and remote engine start.
But those aren't the most important updates for 2014. Nissan is showcasing the expanded functionality of its NissanConnect system, which works with Android and iPhone handsets. Applications will be introduced in the fall and launch with Google search and Facebook, later to be joined by iHeartRadio and Pandora. NissanConnect with navigation system (separate from NissanConnect applications) will be capable of running SiriusXM Travel Link for data including weather, fuel prices and movie times. In addition, there are changes to other option groups, including a revised Technology Package and a new Display Audio Package, the specifics of which can be found in the official release.
As for pricing, the changes are pretty minimal, with the base 2.5 CVT starting at $21,860 and the full-boat 3.5 SL CVT topping out at $30,660 before options and a $790 destination fee. Nissan will run pilot car-sharing program with two-seat concept EVs

Nissan is using a little car to test out possible solutions to a rather big problem. The Japanese automaker will start a car-sharing program this month using its New Mobility Concept two-seat electric vehicles, which is based on the Renault Twizy platform. The cars will be the foundation of a car-sharing network called the Ultra-Compact Mobility Certification System that will take place in Yokohama's Sakonyama Danchi District. Working with housing agency Urban Renaissance, Nissan says the New Mobility Concept vehicles are part of a "method for revitalizing urban and suburban areas." Indeed, instead of the cars being used for government agencies and utility programs, they'll be used by the general public to get around. The program kicks off this month and will run for one year. Other Nissan NMC vehicles were recently put into rental service in the town of Shikano, in the east of Tottori Prefecture, for tourism purposes, at a cost of about $10 an hour plus $12 for a training license. Nissan has been running various mobility programs using the car for the better part of two years. To get an idea how small the vehicles are, their length is about a foot shorter than a Smart ForTwo. This local test of the car-sharing network will be implemented from late March 2015 until the end of March 2016. The trial will assess the potential of ultra-compact electric vehicles as a catalyst in revitalizing large-scale, urban and suburban commuting methods, and will gauge the value of ultra-compact EVs as short-range modes of transport that can complement public transportation.
