Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Nissan-Renault and game developer plan driverless ride-hailing

TOKYO - The Nissan and Renault alliance plans to launch driverless ride-hailing and ride-sharing services in coming years, as the automakers look beyond making and selling cars to survive an industry being quickly transformed by new services. Automakers are leveraging expertise in automated driving functions for mass-market cars to develop mobility services, as they compete with tech firms such as Alphabet Inc and Uber in the fast-growing "pay-per-ride" market which threatens to hit demand for car ownership. Ogi Redzic, head of Nissan-Renault's Connected Vehicles and Mobility Services division, said the alliance would begin self-driving services based on its electric cars "certainly within 10 years," though not likely before 2020. "We think that the big opportunity for us is in automation, electric vehicles and ride-sharing and hailing together," Redzic said in an interview on Thursday. Nissan and Renault join a small group of automakers aiming to enter the ride-hailing market, which Goldman Sachs last month estimated would grow eightfold by 2030 to be five times the size of the taxi market. Redzic said the Japanese and French partners were testing self-driving vehicles, and that any service would run on pre-mapped courses with predetermined pick-up and drop-off points. The two automakers are developing the system with Japanese game software maker DeNA Co Ltd and French public transport operator Transdev SA. German rival BMW AG is also testing autonomous vehicles for use in ride-hailing services, while Uber has been developing self-driving technology. U.S. tech firm nuTonomy Inc and ride services company Lyft Inc, which counts General Motors Co as a major shareholder, this month announced they would begin piloting an autonomous vehicle ride-hailing service in Boston. Redzic said to market a self-driving service, regulations need to change to allow driverless cars on roads. At the moment, most global jurisdictions do not expressly authorise vehicles to operate on regular roads without a driver. "It doesn't just depend on us," he said. MotorWeek proves '90s were awesome with Supra, Stealth, RX-7, Corvette, 968, 300ZX comparo

Oh, the heady days of 1993, back when the Clinton Presidency was just getting underway, and it seemed like every hot new rock band was coming out of Seattle. Sports cars in the US had finally shaken off the shackles that slowed them during the '70s and '80s, and you could buy any number of legitimately quick vehicles again. MotorWeek recently went digging into its archives to find this six-model test from 1993 showing off some of the best semi-affordable performance coupes that money could buy at the time, and it's priceless.
Featuring the 1994 model year Toyota Supra in twin-turbo guise and MY 1993 versions of the Porsche 968, Nissan 300ZX TT, Mazda RX-7, Dodge Stealth R/T Turbo and Chevrolet Corvette LT-1, MotorWeek definitely covered all of the bases. One thing that might surprise younger readers is these cars' performance. The video only provides 0-60 acceleration times, but several of these vehicles would still be considered pretty potent today - over 20 years since going on sale. The Supra is especially impressive, hitting 60 miles per hour in just 5 seconds. Even today, that's nothing to sneeze at.
Given their performance potential and still-attractive looks, it's amazing that some of these coupes are old enough to drink now. The progress of interior design and safety equipment in the intervening years is pretty shocking, though. In most of these models, having two airbags is touted as a big deal.
