Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Before next-gen arrives, Nissan Leaf may get 120-mile battery

As Nissan prepares to unveil its next-generation Leaf electric vehicle, the Japanese automaker may come out with an "interim" version of sorts that could spur lagging sales of the model in the US. So says Automotive News, which reports from a person familiar with the process who wasn't identified that Nissan soon may start selling a Leaf with a 30-kilowatt-hour battery, up from the current 24 kWh version. It could arrive as soon as next month. Indeed, Nissan's temporary solution may be to provide range-hungry drivers with a single-charge range of 100 to 120 miles. Sure, that doesn't quite match up with the distance a gas-powered vehicle can go on a full tank, but it would be an notable upgrade from the current single-charge range of 84 miles for the Leaf. Word first got out about the Leaf possibly adding a 30-kWh battery in late May. Nissan's contending with falling Leaf sales in the US that may be caused by both the expiration of some plug-in vehicle credits as well as the prospect of a glut of used Leafs back on the market as three-year leases run out. Through the first half of the year, Nissan sold 9,816 Leaf vehicles in the US, a 23-percent drop from a year ago. Nissan CEO Carlos Ghosn said in a June 23 shareholders meeting that the company can improve battery technology enough to put an electric vehicle's single-charge range on par with the distance a conventional car can go on a full tank of gas. The V8 Supercars championship used to be strictly a contest between Holden and Ford. But just as BMW crashed the Audi and Mercedes party in DTM, so has Nissan (and for that matter, Mercedes) pushed past the door into Australia's popular touring car series. And like BMW, Nissan hasn't waited long before notching its first victory.
Nissan claimed the checkered flag this weekend in the first of three races at Winton, the ninth stop on the calendar. And what a spectacular win it was: not only did Nissan take the checkered flag, they finished one-two. James Moffat drove his Altima to the finish line just ahead of teammate Michael Caruso. It was Caruso who lead the first half of the race after qualifying just behind defending champion (and current points leader) Jamie Whincup, who suffered a gearbox malfunction and retired on only the ninth lap.
Of course that's just one race out of 27 so far and 37 scheduled this season, so that won't be elevating Nissan or any of its drivers to the lead the same way that BMW did upon its return last season to DTM, but it's a good start and a cause to celebrate for Nissan. Mark Winterbottom (Ford) and James Courtney (Holden) won the following two rounds at Winton as Jamie Whincup (Holden) leads Will Davison (Ford) in the standings.
