Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

BMW tops Consumer Reports 2023 Brand Report Card

Feels like we wrote about Consumer Reports' 2022 Brand Report Car and 10 Top Picks a few weeks ago, but it was last April. So the mag is back with a ranked roster of 32 brands and 10 vehicles in four categories for your debating pleasure. Starting with the brands, last year's top three were Subaru, Mazda and BMW. This year, the Munich crew climbed two spots to win the prize thanks to "Superb road test scores and solid results in CR’s reliability and owner satisfaction surveys." Subaru narrowly fell to second, maintaining its four-year run in the top three. Mini, eighth last year, jumped five spots to get the last step on the podium. The rest of the top 10 were Lexus (up one spot from last year), Honda (down one spot from last year), Toyota (up three), Genesis (up 12), Mazda (down six), Audi (down three) and Kia (up eight). The magazine and testing outfit says its Brand Report Card "[reveals] which automakers are producing the most well-performing, safe, and reliable vehicles based on CRÂ’s independent testing and member surveys," and that "Brands that rise to the top tend to have the most consistent performance across their model lineups." Last year's top 10 had six automakers from Japan, three from Germany (giving Mini credit for England), none from the U.S. or South Korea, and five luxury brands. This year's list counts five makes from Japan, two from Germany because Porsche fell out of the top ten, two from South Korea, still none from the U.S., and four luxury brands. Buick again ranked as the best domestic, dropping to 12th after being 11th last year. The big mover was Lincoln, its 10-place jump up to 16th attributed to better reliability from the Corsair and Nautilus. Tesla's improved overall reliability saw it climb six spots to 17th. Dodge climbed one spot to 15th. Jeep got out of the penalty box in last to come second-to-last. 2020 Ford Escape hybrids vs other crossover fuel sippers: How they compare on paper

Along with a new generation of Escape, Ford also reintroduced the world to the 2020 Ford Escape Hybrid. And if that weren't enough, Ford is adding a plug-in hybrid version. This is a sign of the times: people are more crossover crazy than ever, but are also seeking ways to use less fuel, whether it's for environmental or purely money-motivated reasons. The Ford hybrids aren't the only fuel-efficient compact crossovers on the market. They will be going head-to-head with conventional hybrids including the 2019 Kia Niro, 2019 Nissan Rogue Hybrid and 2019 Toyota RAV4 Hybrid. There are other plug-in hybrids including the 2019 Subaru Crosstrek PHEV, 2019 Mitsubishi Outlander PHEV and the plug-in version of the 2019 Kia Niro. There are even a couple diesels in the form of the 2019 Chevy Equinox and 2019 GMC Terrain. So we've rounded up the details on all these crossovers to see who leads and lags in criteria such as power, fuel efficiency, space and price. Conventional Hybrids and Diesels Let's face it, if you're buying one of these crossovers, one of the things that matters most to you is just how frugal with fuel they are. We'll start off with the conventional hybrids and diesels, and the clear victor is the Kia Niro, which in base FE trim, manages to hit 50 mpg combined. This is thanks to it sharing its powertrain with the Hyundai Ioniq, the Hyundai equivalent of the Toyota Prius. Buyers should take note that only the FE returns such high fuel economy. The LX and EX drop to 49 mpg, and the S Touring and Touring get 43. Even then, the least efficient Niro is the most efficient of the normal hybrids and diesels. It is nearly the least powerful, though, with 139 horsepower. Just behind it is the Toyota RAV4 Hybrid. It delivers 40 mpg combined, and it has an ace up its sleeve: it comes standard with all-wheel drive. Every other vehicle in this powertrain group has front drive standard, and the Niro isn't available with all-wheel drive at all. If that weren't enough, the RAV4 Hybrid also boasts the most power at 219 horses. While we can't say anything about Escape Hybrid fuel economy, we do know that it will make 198 horsepower, which is close to the class-leading RAV4. The least powerful of these is the Equinox and Terrain, and they return the worst fuel economy at 32 mpg.
