Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Renault-Nissan has sold more EVs than its next two competitors combined

Nissan may not be doing so hot with sales of its Leaf electric vehicle in the US this year, but the Japanese automaker and its France-based partner Renault still remain the gold standard of electric-vehicle sellers. Thanks to numbers crunched by the good people over at EV Sales, we learn that the Renault-Nissan Alliance has moved more than 265,000 electric vehicles around the world. That accounts for more than a quarter of all the EVs sold worldwide and is more than Mitsubishi's 11 percent share and General Motors' 10 percent share combined. Nissan and Renault surpassed the quarter-million electric-vehicle mark in June. There are shifts afoot, though. Renault-Nissan's global EV market share is only 18 percent this year, and the Alliance is losing share to companies like Volkswagen, BYD, and, to a lesser extent, BMW. That shift can be seen in this year's US sales numbers, where the Nissan Leaf has pretty much plunged down. In fact, with VW and BMW broadening their inventory of plug-in models, Germany can claim the third-place spot in the list of countries with the most "electric" automakers, after China and Japan. The US is trailing, even if many people associate electric cars with California's Tesla. On that note, both Ford and General Motors have lost electric-vehicle market share this year, while Mitsubishi has essentially tread water. GM's numbers (and Nissan's, for that matter) need some context because Americans have been holding off on purchasing a first-gen Chevrolet Volt extended-range plug-in while the automaker readies a new and improved version. All told, Japanese companies have produced the most plug-in vehicles, accounting for 39 percent of the world's market so far, while the US is responsible for about one in four electric vehicles ever made. Tesla leads and Infiniti bleeds in Consumer Reports' satisfaction survey

According to Consumer Reports, Tesla owners are more likely to rave about their vehicles than any other brand. And we're not surprised — Tesla has performed very well in past customer satisfaction surveys, despite the fact that the electric cars themselves tend to have more problems than most other automobiles. Second place went to Lincoln, which interestingly had a higher cumulative score than Tesla in individual category measurements like comfort and storage space. Ram, a truck-only brand, rounded out the top three. The consumer-focused magazine bases its owner satisfaction score on responses to a very simple question: Would you buy this exact car again? The higher percentage of owners who answer "definitely yes" to that question, the higher the satisfaction score. Further breakdowns are scored for other parts of the ownership experience, which is why brands that rank poorly in Consumer Reports' own reliability charts — like Tesla and Lincoln, for example — can still earn top marks for satisfaction. The lowest-ranked brands for satisfaction are Cadillac, Nissan and Infiniti. Interestingly, Cadillac performed better than average in Driving and Comfort and middle-of-the-road in the In-Car Electronics and Cabin Storage, but like most other brands, scored poorly in Value. In fact, only Subaru, Mazda and Volkswagen scored better than average in Value. Nissan and especially Infiniti earned comparatively low marks across the board to go along with the bottom-of-the-barrel satisfaction score.
