Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Nissan expands regional airbag recall to 45k Sentras [UPDATE]

UPDATE: Nissan's official statement about this recall expansion has been added below. Nissan is expanding its regional Takata airbag inflator recall for the passenger side of an estimated 45,000 Sentras from the 2004-2006 model years in high-humidity states. The National Highway Traffic Safety Administration has not yet published the specifics of the broadened campaign, but Nissan spokesperson Steve Yaeger told Autoblog that the company submitted a Defect Incident Report to the agency yesterday, April 16. According to Reuters, the expansion followed a case in March where a women in Louisiana was injured by a ruptured airbag in a 2006 Sentra. Yaeger clarified this to Autoblog via email by stating, "This action is not in response to lawsuit filed yesterday. [The] recall was initiated before that came to light." As required under the law, affected owners should be notified within the next 60 days, he indicated. Nissan was already recalling nearly 700,000 vehicles for the faulty inflators. While millions of owners from multiple automakers were affected by the potentially dangerous parts last year, the safety campaigns haven't quite finished yet. Honda expanded its own nationwide campaign to add 100,000 more units in March. The company urges anyone who owns any vehicle that is potentially affected by the Takata's recalls to enter their vehicle's identification number (VIN) on NHTSA's site https://vinrcl.safercar.gov/vin/ or Nissan USA and Infiniti USA web sites. The web sites will be updated with newly affected vehicles in approximately two weeks. NRG eVgo ready for 'No Charge to Charge' in Atlanta

That loop of highways circumnavigating the city of Atlanta is about to get some fast chargers. And, for those driving newer Nissan Leaf electric vehicles, some free chargers as well, for the next couple of years. It's the new taste of southern hospitality. NRG Energy, which has been expanding its NRG Evgo fast-charging networks across the country, is now going into the Atlanta metro area. The stations, which can fully charge an electric vehicle in as few as 30 minutes, will be located "along major thoroughfares in retail locations." This makes sense, since Atlanta has emerged as a major plug-in vehicle market this year. Additionally, the "No Charge to Charge" program that NRG eVgo helps administer will apply in NRG eVgo's Atlanta network. That means that Georgians who either buy or lease Leaf EVs will be allowed to charge their cars at the eVgo stations for free for the first two years. Other eVgo programs are up and running in Texas, Phoenix, Nashville, Washington, D.C. and the Pacific Northwest.
