FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Deltawing takes out second ad targeting Nissan amidst design lawsuit

Don Panoz isn't a guy shy away from a fight. Since December, Panoz's Deltawing Technologies has been in a lawsuit with Nissan over alleged intellectual property violations with the design of the Zeod RC. The situation went public several weeks ago when Deltawing bought an ad in The Tennessean, a paper near Nissan's US headquarters, and the industry trade, Automotive News, aimed squarely at company CEO Carlos Ghosn.
Now, Deltawing is trying the tactic a second time with an even more scathing ad in The Tennessean on July 11 and in Automotive News on July 14 that calls the Zeod's design out directly. The bulletin puts the two racecars side by side and asks readers compare their similarities.
According to Deltawing spokesperson Gary Fong, the idea for these ads started after mediation between the company and Nissan broke down earlier this year. "We were trying to bring them to settle it amicably," he said to Autoblog. When that didn't happen, Deltawing wanted to fight the misconceptions in the public about the program and lawsuit. The strategy actually worked, too. "We've seen an opinion change," said Fong. He estimates that before the advertisements the attitude was "90 percent against Panoz," but there has been more support since them.

Mitsubishi cheated on Japanese fuel economy test since 1991

Mitsubishi now says that its cheating on Japanese fuel economy tests stretches as far back as 1991. The automaker has hired an independent panel of investigators to get to the bottom of what happened, and the company will give them three months to prepare a report about the deception. Mitsubishi's cheat involves how the company calculated driving resistance to determine fuel economy. In 1991, Japan's Road Transport Vehicle Act established a coasting test to establish the driving resistance, but Mitsubishi's engineers used their own "high-speed coasting test," according to its statement. In 2007, the company decided to only use the country's mandated evaluation, but the employees kept utilizing the high-speed test in the field. In the most recent scandal, workers selected low values for driving resistance from the results, which made the fuel economy look better. Mitsubishi's presented these details in a report to the Ministry of Land, Infrastructure, Transport, and Tourism. "We are currently investigating the reasoning behind each of the decisions," the company said in a statement. It also hired three former prosecutors to figure out why this happened for so long. At this time, Mitsubishi only confirms the incorrect figures for some of the company's minicars, but this investigation could discover more transgressions. This fiasco started when Nissan discovered fuel economy discrepancies in some of its Mitsubishi-made tiny kei-class cars in Japan. Mitsubishi came clean and admitted the problem affected about 625,000 vehicles in the country. Japanese media have alleged more vehicles have incorrect mileage, including the Outlander. The National Highway Traffic Safety Administration in the US has also requested data from the Japanese automaker to confirm similar deceptions didn't happen for vehicles here.
