FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Mitsubishi Motors shareholders approve ouster of Ghosn

TOKYO — Mitsubishi Motors Corp. shareholders approved on Friday the ouster of Carlos Ghosn, who was pivotal in the Japanese automaker's three-way partnership with Nissan and Renault until he was arrested on financial misconduct charges last year. The vote took place in a two-hour general meeting of shareholders at a Tokyo hotel. Nissan Motor Co. owns 34% of Mitsubishi Motors. Osamu Masuko, who was reappointed chairman, promised to strengthen governance and transparency and monitor wrongdoing. More outsiders will check executive appointments and compensation, he said. Nissan shareholders held an extraordinary shareholders' meeting in April to oust Ghosn as chairman. He resigned from French alliance partner Renault SA. The Mitsubishi shareholders also approved the appointment of Renault's chairman Jean-Dominique Senard to replace Ghosn. Renault owns 43% of Nissan. Nissan, based in the port city of Yokohama, is holding a general shareholders' meeting next week to approve other measures, including setting up committees to strengthen governance. Nissan said late Thursday two Renault executives will be on the committees. Renault earlier said it would abstain in that vote, and the greater representation promised on the committees may gain Renault's approval. Renault said in a statement that it welcomed Nissan's decision but did not say how it planned to vote. "The agreement reached on Renault's presence in Nissan's new governance confirms the spirit of dialogue and mutual respect that exists within the alliance," it said. Some analysts suggest a deepening rift between Renault and Nissan after a planned merger between Renault and Fiat Chrysler fell through earlier this month. Nissan expressed reservations about immediately joining the merger. Masuko told shareholders the auto industry faced challenges because of the costs of advancements such as emissions standards and self-driving technology. He said the Tokyo-based automaker will pursue focus over expansion, repeatedly highlighting the company motto "small but beautiful." He also stressed the importance of auto alliances. "We want to be a profitable company even if smaller in scale," he told shareholders. One Mitsubishi Motors shareholder expressed anger over the Ghosn scandal. But most of the questions were about new models and market strategy.

Mitsubishi Engelberg Tourer concept is a 4WD plug-in hybrid

Mitsubishi has finally taken the wraps off its strangely named Engelberg Tourer crossover concept in Geneva, revealing a twin-motor, four-wheel-drive plug-in hybrid with some nifty off-road capabilities and connected-car technology. Named for a Swiss ski resort famous for its unmarked, backcountry terrain, the Engelberg Tourer is a sporty-looking crossover that could preview a new Outlander. It features plenty of side creasing, an upright front end, interesting running lights and that unique roof box cap with integrated fog lamps and highly reflective strips of chrome along the sides. Mitsubishi says the crossover has an all-electric range of more than 70 kilometers, or around 43 miles, at least on the European WLTP cycle, and a combined gasoline-electric range of more than 700 km (435 miles). The Engelberg — users will inevitably make comparisons to the singer Engelbert Humperdinck, as does Google's autofill function — benefits from established and advanced Mitsubishi technologies. It uses the twin-motor PHEV system developed for the Outlander PHEV and improves it, with high-efficiency motors at the front and rear axles and a 2.4-liter gasoline engine in a series hybrid setup, acting as a generator. It uses active yaw control first developed for the Lancer Evolution series to split torque between the front and rear wheels, or between the front wheels alone, and matches it with a super all-wheel control system to improve performance and stability. The concept also features improved anti-lock braking at each wheel and active stability control to reduce wheel slip on snow-covered roads. The onboard navigation system takes the destination entered by the driver and factors in weather, temperature, topography, traffic and road conditions to choose the ideal drive mode and tailor torque split through drive battery management and the super all-wheel control system. Inside, Mitsubishi fashioned a spacious interior bedecked in white panels and seating material and black contrasts. There's also a roof box that houses fog lamps and front and rear bumper under guards. Mitsubishi also is demonstrating the Dendo Drive House, its version of a vehicle-to-home system that allows electric or plug-in hybrid vehicles to generate, store and share energy with a home.
