Nissan shareholders oust Carlos Ghosn from board of directors

TOKYO — Nissan's shareholders approved on Monday the ouster from the Japanese automaker's board of its former chairman, Carlos Ghosn, who is facing allegations of financial misconduct. The approval, which was expected, was indicated by applause from the more than 4,000 people gathered at a Tokyo hotel for a three-hour extraordinary shareholders' meeting. Other votes had been submitted in advance. Ahead of the vote, Nissan's top executive apologized to shareholders for the scandal at the Japanese automaker and asked them to approve Ghosn's dismissal. Chief Executive Hiroto Saikawa and other Nissan executives bowed deeply in apology to shareholders attending the extraordinary meeting at a Tokyo hotel. Shareholders also approved the appointment of French alliance partner Renault SA's Chairman Jean-Dominique Senard to replace Ghosn. Renault owns 43 percent of Nissan. Senard, introduced to shareholders at the meeting's end, thanked them and promised to do his best to keep the automaker's performance on track. "I will dedicate my energy to enhance the future of Nissan," said Senard. The shareholders also gave a green light to removing from the board a former executive direct, Greg Kelly, who has been charged with collaborating with Ghosn in the alleged misconduct. Angry shareholders demanded an explanation for how wrongdoing on an allegedly massive scale had gone unchecked for years. The meeting was closed except to stockholders but livestreamed. One shareholder said Nissan's entire management should resign immediately. Saikawa said he felt his responsibility lay in fixing the shoddy corporate governance at Nissan first, and continuing to lead its operations. Another shareholder asked if Nissan was prepared for a damage lawsuit from shareholders since its stock price has plunged. "I deeply, deeply apologize for all the worries and troubles we have caused," Saikawa said. "This is an unprecedented and unbelievable misconduct by a top executive." He outlined the findings of an internal investigation, such as payments of a consultation fee to Ghosn's sister for 13 years. The investigation has also found too much power had been focused in one person, he said. Ken Miyamoto, 65, a Nissan shareholder, said he was disappointed. "It is really such a pity as he was a brilliant manager," Miyamoto said of Ghosn before heading into the meeting.

Investigators hired by Mitsubishi Motors to probe why the Japanese automaker engaged in falsifying fuel-economy figures for the past quarter-century faulted the company's "corporate culture." Specifically, there was a lack of unity between divisions, company-wide pressure to boost fuel-efficiency numbers, and an unwillingness to accept fuel-economy shortfalls, Automotive News says, citing comments made by consultants who hired by the company to investigate the problems. Challenging management authority even if it was proper to do so was also frowned upon. One of the investigators called the scandal "a collective failure." Among other suggestions, the consultants recommended that Mitsubishi's vehicle-mileage certification be independent from research and development, that there's greater transparency overall, and that there's a more thorough understanding of laws. New shareholder Nissan may also invest in retooling Mitsubishi's R&D operations, and is sending one of its former executives, Mitsuhiko Yamashita, to Mitsubishi to try to prevent any sort of repeat problems. Mitsubishi joined a list of automakers including Volkswagen, Hyundai/Kia, and Ford that have been found in recent years to either mislead with its published fuel-efficiency figures or emissions-testing procedures. A Nissan spokesman declined to comment on the Mitsubishi report, according to Automotive News. The recommendation comes less than three months after the announcement that Nissan would help rescue Mitsubishi from its fuel-economy scandal by acquiring part of the company. Nissan agreed in May to pay $2.2 billion for a 34-percent stake in Mitsubishi, and said at the time that Mitsubishi would join the Renault-Nissan Alliance. Nissan also owns 15 percent of France-based Renault. That announcement came right after Mitsubishi's admission that it may have falsified fuel-economy data for every one of its vehicles made in Japan dating back to 1991. Mitsubishi has 6 all-new models in the works, plus 5 redesigns

Mitsubishi has revealed its plans for the next three years, and they're all focused on expansion. The company wants to improve unit sales and revenue by 30 percent, which would have it selling 1.3 million cars worldwide. It also plans to improve profit margins from 0.3 percent to 6 percent. This will entail an investment of nearly $5.3 billion. To do this, the company will work on reducing development and manufacturing costs and concentrating on improving in existing markets. But the most interesting part for consumers and enthusiasts: its expanding product plans. Mitsubishi says it will have 11 new model launches over the three-year expansion period. Of these models, six of them are completely new, and the other five will be significant updates and redesigns of existing models. Two of the new vehicles have been shown already including the Eclipse Cross, a compact crossover we'll get in America, and the Xpander (shown below), a minivan-type thing that won't come to the States. The addition of redesigned and new models should be great news for Mitsubishi dealers, especially in America where the company only offers two flavors of aging Outlander, and the bargain-basement Mirage. Fans of Mitsubishi cars might not have much to be excited for, though, since the company says it will be focusing on SUVs and trucks. In fact, it expects that its five best-selling models and 70 percent of its sales will be SUVs, trucks, and plug-in hybrids. If we had to guess what the next four Mitsubishi models could be, we imagine that at least one of them will be some type of full-size crossover. Something sized similarly to the foreign-market Pajero SUV, but designed for pavement pounding. This would especially make sense given other companies entering that space such as VW with the Atlas, and Subaru with its Ascent. As for the three other slots, it's harder to guess. The future Outlander will grow, and the Outlander Sport will shrink, so Mitsubishi will have its midsize and subcompact bases covered, and with a hypothetical full-size crossover, it would have a full line. Those three other slots could be cars, or perhaps specialty crossovers, maybe even a sporty one based on the e-Evolution. But they could also be vehicles aimed at other regions in segments that don't really exist in the U.S. For instance, they could include new microcars for Japan's Kei class of vehicles, or possibly ultra-bare bones, low-cost compacts for Southeast Asia, India and China.
