Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Mitsubishi Evolution Final Edition goes out with a bang

The end of a long era - one we got to experience too little of - is just about at an end, and this car is its gravestone. The 2015 Mitsubishi Lancer Evolution Final Edition is the last breath of ten generations of Lancer Evos, three of which came to the US. Mitsubishi launched a Final Edition Evo X in Japan earlier this year, after teasing a 473-horsepower concept at the Tokyo Auto Salon, now it's our turn. Built on the lower GSR trim, our model gets 303 hp, a bump of 12 hp, and torque goes up by five pound-feet to 305 lb-ft. The bigger modification is arguably the fitment of Bilstein shocks wrapped in Eibach springs all around, plus two-piece Brembo calipers on the front axle, all of which come standard on the upper-level MR trim. Dark chrome Enkei wheels match the dark chrome front grille surround. Like the grille, other changes for the Final Edition appear to be ornamental: black aluminum roof, black interior with red accent stitching, and special badging. Mitsubishi is putting 1,600 on sale here, each one with a numbered plaque just ahead of the shifter for the five-speed manual transmission. A second badge makes an appearance on the decklid. Final Edition Evos come in one of four colors, new Pearl White, Rally Red, Mercury Gray and Octane Blue, and cost $37,995. Junkyard Gem: 1995 Mitsubishi Diamante Station Wagon

Chrysler sold Dodge- and Plymouth-badged Mitsubishis in the United States starting in the early 1970s, but it wasn't until the 1983 model year that Mitsubishi sold cars under their own name on this side of the Pacific. The Diamante made its American debut for the 1992 model year, but it proved unable to steal many sales from the likes of Lexus and Infiniti and not many were sold. Sure, it was big and comfortable, but SUV and minivan sales soon squeezed most wagons out of the American marketplace. Here's a rare '95 station wagon, spotted in a California yard recently. 240,664 miles on the clock, which is much higher than the not-very-trashed interior might suggest. The owner or owners of this car got their money's worth out of it. The 6G72 3.0-liter V6 went into Chrysler minivans, Mitsubishi 3000GTs, and many members of the extended Chrysler K-Car family; production of this versatile engine continued well into our current century. This one was rated at 175 horsepower. Technically, this isn't a Japanese car, since the Diamante wagons were built in Australia. Rumor has it that some 5-speed Diamante wagons were sold in the United States, but I have never seen one. 1995 was the last year for the Diamante wagon in the United States, and the Camry and Accord wagons soon got the axe as well.
