Nissan CEO plans to deliver 'raw details of the misconduct' to Renault

TOKYO/PARIS — Nissan Motor's CEO plans to meet one-on-one with the deputy CEO of automaking partner Renault in Amsterdam this week, sources told Reuters, amid tensions over the future of the alliance after Chairman Carlos Ghosn's arrest last month. The meeting would be the first face-to-face interaction between Nissan's Hiroto Saikawa and Renault's Thierry Bollore since Ghosn was arrested on Nov. 19 in Tokyo. It would take place alongside regular top-level, monthly talks between the partners and Mitsubishi Motor Corp that will be held over two days from Tuesday, according to one of the sources familiar with the matter. Saikawa, who took over from Ghosn as CEO last year, is planning to discuss at the meeting with Bollore possible changes to the partnership's management and operations with an eye to continuing the alliance, another source who is close to Nissan's management said. The talks in Amsterdam could provide Saikawa with an opportunity to try and convince Renault executives of the gravity of Ghosn's alleged misconduct discovered during an in-house investigation by the Japanese automaker. They are being held a day after Saikawa rebuffed a demand from Renault for an extraordinary shareholder meeting that would have offered the French car maker a chance to weigh in on Ghosn's replacement as chairman and on other Nissan board appointments. Mitsubishi Chairman Osamu Masuko said late on Monday he will attend the Amsterdam meetings via video conference. A Nissan spokesman said Saikawa would attend meetings with alliance partners in Amsterdam from Tuesday, but declined to comment on the possibility of the one-on-one meeting with Bollore. Ghosn was charged last week alongside alleged accomplice Greg Kelly and Nissan itself over the company's failure to declare $43 million in deferred income that Ghosn had arranged to be paid while chairman and CEO. Both men remain in custody. The scandal has shaken the Renault-Nissan-Mitsubishi alliance, with Saikawa calling for changes to weaken Renault's control as he moved to oust Ghosn in the week of his arrest. Renault directors were briefed last week on the Nissan investigation that led to Ghosn's arrest but reiterated their earlier decision to keep him in office as chairman and CEO. But the Renault board has yet to be given direct access to Nissan's findings, which are being closely held by Renault lawyers answering to Ghosn's long-standing chief of staff and head of legal affairs at Renault, Mouna Sepehri.

Chrysler began selling Dodge-badged Mitsubishis way back in the 1971 model year, when the Mitsubishi Colt Galant became known here as the Dodge Colt. Later in the decade, a Plymouth Arrow-badged version of the Mitsubishi Triton small pickup appeared here, along with a Dodge version known as the D-50 and — a few years later — the Ram 50. Once Mitsubishi began selling the same trucks here as Mighty Maxes, starting in the 1983 model year, the Ram 50 didn't seem quite so specialÂ… and then the Dakota made its debut for the 1987 model year. Still, when the Triton went to its second generation that same year, Chrysler continued selling it as the Ram 50. Here's one of those second-generation trucks, found in a Denver-area self-service yard last month. At this point, GM had long since stopped selling Isuzu Fasters with Chevrolet LUV emblems, as had Ford with the Courier-badged Mazda Proceed (after developing the all-American S-10 and Ranger, respectively). The decision-makers at Chrysler, however, calculated that the Ram 50 could grab some sales from Dodge truck shoppers who felt that the Dakota was too big for their needs; as a result, the Ram 50 stayed on sale here through 1994. The last Mighty Maxes rolled out of American Mitsubishi showrooms in 1996. The 6G72 V6 engine became available in four-wheel-drive Ram 50s a few years after this truck was built, but in 1987 all Ram 50s came with either the 2.0-liter 4G63 Sirius or 2.6-liter Astron four-banger. This truck has the base Sirius, rated at 92 horsepower. Remember when new trucks came with double-digit horsepower ratings? Most American-market small pickups still had manual transmissions during the middle 1980s, though that would change in a hurry with the dawn of the 1990s and the drop in slushbox prices. This one has the base five-speed. Just barely 100,000 miles on the clock, very unusual for a junkyard pickup of this age (especially one with a thick coat of brush-applied white house paint on the tailgate). FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium.
