Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Mitsubishi teams up with Amazon to unveil 2022 Outlander

We're all familiar with the phenomenon of the oversized Amazon package, where a box large enough for a chandelier arrives on your front step but contains nothing but nail clippers and a half-deflated string of packaging balloons. Well, the largest Amazon package we've seen is now the driveway-sized one said to enclose a 2022 Mitsubishi Outlander. On February 16, the Triple Diamond marque and Amazon are joining forces to debut the carmaker's next mid-sized SUV. The pair have released a teaser showing a massive cardboard box sitting on the driveway of a super swanky house that we're not 100% sure isn't computer-generated. In any case, the point is that it will be the first car to make its debut on Amazon Live, a streaming service that we did not know existed until now. From what we can tell after a cursory skim, it's a YouTube-esque platform but where streamers talk about items that are available for sale on Amazon. And just in case there was any doubt, the teaser video comes with the disclaimer, "Amazon does not deliver vehicles." That's probably a good thing, if you don't want your 2022 Outlander to arrive pre-dented. As part of the launch, Mitsubishi Motors is also giving away one 2022 Outlander to one lucky winner. We already have a pretty good idea of what the 2022 Outlander will look like, thanks to leaked photos and Mitsubishi's own teaser video. Its sheetmetal is based on the Engelberg Tourer, named after the Swiss ski resort, and is quite a bold departure from the current Mitsubishi corporate face.  Underneath, we're expecting two drivetrains. One is a Nissan 181-horsepower, 2.5-liter inline-four mated to a CVT for entry-level models. The second is a Mitsubishi-built plug-in hybrid variant mated to a 2.4-liter engine. Early reports say that it could double the battery-only range from 22 to 43 miles. The unveiling will take place at 6:00 pm Eastern Time. Hopefully, no porch bandits steal the box before then. Mitsubishi profits in North America for first time in seven years

Well, this is a change of pace. Mitsubishi has actually made some money in North America. It's the company's first operating profit in seven years, and while it might only be $4.18 million – yes, Mitsubishi made less in 2014 than some professional athletes – it's definitely a start. Sales in the US were up 19 percent between January and March, to 32,000 units, while 2014's overall sales jumped 21 percent to 117,000 units, Automotive News reports. Perhaps more impressively, the company is predicting a bountiful 2015, with sales up to 128,000 units and operating profits climbing to $58.5 million. If Mitsubishi is doing this with cars like the ancient Lancer and the awful Mirage, we should probably expect some good things when newer, more competent vehicles like the new Outlander hit dealers.
