Auto Mergers and Acquisitions: Suicide or salvation?

Sergio Marchionne does not likely view himself with Moses-like optics, but the CEO of Fiat Chrysler Automobiles recently gave a remarkable, perhaps prophetic interview with Automotive News about his interest and the inevitability of merging with a potential automotive partner like General Motors. Marchionne has been overtly public about his notion that GM must merge with FCA. For a bit of context, GM sold 9.9 million vehicles in 2014, posting $2.8 billion in net income, while FCA sold 4.75 million units and earned $2.4 billion in net income, painting a very rosy FCA earnings-to-sales picture. But that's not the entire picture. Most people in the auto industry still remember the trainwreck that was the DaimlerChrysler "merger" written in what turned out to be sand in 1998. It proved to be a master class in how not to fuse two companies, two cultures, two continents, and two management teams. Oh, it worked for the two individuals at both helms pre-merger. They got silly rich. And the industry itself was in a misty romance at the time with mergers and acquisitions. BMW bought Rolls-Royce. Volkswagen Group bought Bentley, Bugatti, and Lamborghini, putting all three brands into their rightful place in both products and positioning. No marriages there, so no false pretense. The heads of each unit, the product planners, and finance all presented their then-current and long-range forecasts to each other with less-than-forthright accuracy. Daimler was the far greater equal and no one from the Chrysler side enjoyed that. The cultures were entirely different, too, and little was done to bridge that gap. Which brings me back to the present overtures by Marchionne to GM. "There are varying degrees of hugs," Marchionne stated in the Automotive News piece. "I can hug you nicely, I can hug you tightly, I can hug you like a bear, I can really hug you." Seriously?

Fiat/PSA's dominance in small vans hangs up EU's merger approval

BRUSSELS — EU antitrust regulators are concerned about Fiat Chrysler and Peugeot / PSA's combined high market share in small vans and may require concessions to clear their $50 billion merger, people familiar with the matter said. The companies, which are seeking to create the world's fourth biggest carmaker, were told of the European Commission's concerns last week. If Fiat and PSA fail to dispel the European Commission's doubts in the next two days and subsequently decline to offer concessions by Wednesday, the deadline for doing so, the deal would face a four-month-long investigation. The EU competition enforcer, which has set a June 17 deadline for its preliminary review, declined to comment. Fiat was not immediately available for comment while PSA had no immediate comment. Hiving off overlapping businesses, usually a regulatory demand to ensure more competition, could prove tricky for the carmakers because of the technicalities. Fiat and PSA are looking to merge to help offset slowing demand and shoulder the cost of making cleaner vehicles to meet tougher emissions regulations. The deal puts under one roof the Italian carmaker's brands such as Fiat, Jeep, Dodge, Ram, Maserati and the French company's Peugeot, Opel and DS. Next Jeep Wrangler spotted with 8-speed and EcoDiesel

Although it may not look like it, there are big changes coming to the next-generation Wrangler. The 2018 model will use aluminum for weight savings, spawn a pickup version, and offer new engines. This latest set of spy images brings confirmation of two new powertrain items. The spy photos below show a Wrangler mule with the current interior and an eight-speed automatic shifter fitted in place of the old five-speed unit. (There's a comparison photo in the gallery.) The shifter design matches that of the refreshed Dodge Charger and Challenger; the final Jeep version is likely to differ, but this clearly indicates what kind of transmission is underneath. View 4 Photos While it's not visible in the photos, the unmistakable sound of a diesel was heard coming from this Jeep. The EcoDiesel V6 is expected to be available alongside a new turbocharged four-cylinder engine that is rumored to have the code name "Hurricane." The turbo four may completely replace the current gas V6 or be offered in addition. There's a good chance the eight-speed will also be paired with the Hurricane engine, since improved fuel economy is a goal for the new model across the board. We don't yet know whether a manual transmission will be offered again, but it's a pretty good bet for one of the gas engines since many diehard off-roaders prefer the ultimate control.
