Fiat Chrysler and Peugeot boards meet to finalize merger

MILAN/PARIS — The boards of Fiat Chrysler Automobiles and Peugeot will meet separately on Tuesday to discuss finalizing an initial agreement for a $50 billion merger to create the world's number four carmaker, sources said. A source close to FCA said the two companies could announce the signing of a binding memorandum early on Wednesday, followed by a conference call to explain further details later in the day. The two mid-sized carmakers announced plans six weeks ago for a tie-up to help them deal with big challenges in the industry, including a global demand downturn and the need to develop costly cleaner cars to meet looming anti-pollution rules. Ahead of the meetings, entities representing the Peugeot family, Etablissements Peugeot Freres (EPF) and FFP, unanimously approved a proposed memorandum of understanding for the planned merger, a source familiar with the situation said. FCA and PSA have said they would seek to finalize a deal by year-end to create a group with 8.7 million in annual vehicle sales. That would put it fourth globally behind Volkswagen, Toyota and the Renault-Nissan alliance. PSA's Carlos Tavares will be chief executive and FCA's John Elkann — the scion of Italy's Agnelli family, which controls FCA through their holding company Exor — chairman of the combined company. The group will include the Fiat, Jeep, Dodge, Ram, Chrysler, Alfa Romeo, Maserati, Peugeot, DS, Opel and Vauxhall brands, allowing it to serve mass and premium passenger car markets as well as those for trucks and light commercial vehicles. Fiat Chrysler CEO: No plans to sell brands to Chinese

DETROIT — Fiat Chrysler Automobiles (FCA) has no intention of breaking up the company or selling individual brands to China or other parties, the company's chief executive said on Monday at the Detroit Auto Show, adding that the group was counting on its coveted Jeep brand to drive future profits. "We're not going to break up anything," Chief Executive Sergio Marchionne said at a news conference at the Detroit Auto Show. "We have no intention of breaking it up and giving anything to the Chinese." Marchionne said the Jeep sport utility vehicle brand could help FCA double its net profit. FCA's portfolio also includes luxury Maseratis, sporty Alfa Romeos and tiny Fiats. FCA's share price has jumped more than 30 percent this year on a bullish outlook for the auto sector, Jeep growth expectations and speculation that Marchionne's final year at the helm could prompt strategic deals such as spinoffs, technology alliances and disposals. The popularity of the Jeep brand, which is targeting sales of 2 million vehicles this year, has prompted talk it could be spun off from the group, as happened with tractor maker CNH Industrial and supercar group Ferrari, or sold off. Rumors have resurfaced that Guangzhou Automobile Group might be interested in snapping up part of FCA. Marchionne said on Monday that while GAC has partnered to deliver Jeeps to the Chinese market and FCA is talking to the Chinese automaker about helping it enter the U.S. market, "none of these things are designed to impact on the independence of FCA." FCA has often been the subject of merger speculation, especially after its unsuccessful 2015 attempt to tie up with larger U.S. rival General Motors. Its share price jumped to record highs in August after reports of interest from China's Great Wall Motor Co and South Korea's Hyundai. Marchionne said while both Jeep and truck brand Ram are strong enough to exist on their own, "we need to talk about ... what will be left behind." Marchionne said he has recommended to the company's board that the automaker spin off Magneti Marelli, a maker of components for lighting, engines, electronics, suspension and exhausts, to shareholders by the end of 2018. Marchionne confirmed FCA's targets for 2017 and for 2018, including a plan to erase all debt and generate up to 5 billion euros ($6.14 billion) in net cash.

A yearly tradition, Jeep has unveiled seven new concepts that will participate in the 49th annual Easter Jeep Safari in Moab, UT, in just a couple of weeks. This event is a sort of mecca for Jeep owners and enthusiasts, and like years past, FCA's off-road brand has prepared a slew of excellent new concepts that use a combination of production and prototype Jeep Performance Parts, from the folks at Mopar. These concepts are far more than just production Jeep vehicles with lift kits and off-road tires, though. What we have here are a number of fully baked, one-off SUVs that show the passion and dedication of Jeep's engineers. The Easter Jeep Safari takes place from March 28 to April 5. Here's a look at what'll be hitting the trails this year. 2015 Easter Jeep Safari Concepts: Jeep Chief View 20 Photos Jeep Chief Arguably the coolest concept of the bunch, this Wrangler-based concept is an excellent tribute to the classic, fullsize Jeep Cherokee from the 1970s. It's painted in a vintage Ocean Blue color, with a white, "French Bread" roof. There's also a custom razor grille (something made famous on the original Wagoneer), removable sides, chrome bumpers, and classic-looking, 17-inch wheels. Inside, there's surfer-inspired pink, blue, and white cloth mixed with leather trim, with more fun details like a Rosewood front passenger grab handle and tiki-look shift handle. Of course, this thing looks to be truly capable off-road, too, with a two-inch lift kit, Fox shocks, Dana 44 axles at the front and rear, and a 3.6-liter Pentastar V6 underhood. 2015 Easter Jeep Safari Concepts: Jeep Staff Car View 27 Photos Jeep Staff Car This one's a proper salute to the Jeep military service vehicles of yore. It's an open-air concept based on the four-door Wrangler, with tons of heritage design cues. It looks old, but we promise, it's totally new. It's got basic steel wheels, a stretched canvas roof, bench seats, a painted steel floor, a built-in cooler that accommodates up to 85 cans, and is painted in an iconic Sandstorm color.
