Fiat Chrysler and Peugeot boards meet to finalize merger

MILAN/PARIS — The boards of Fiat Chrysler Automobiles and Peugeot will meet separately on Tuesday to discuss finalizing an initial agreement for a $50 billion merger to create the world's number four carmaker, sources said. A source close to FCA said the two companies could announce the signing of a binding memorandum early on Wednesday, followed by a conference call to explain further details later in the day. The two mid-sized carmakers announced plans six weeks ago for a tie-up to help them deal with big challenges in the industry, including a global demand downturn and the need to develop costly cleaner cars to meet looming anti-pollution rules. Ahead of the meetings, entities representing the Peugeot family, Etablissements Peugeot Freres (EPF) and FFP, unanimously approved a proposed memorandum of understanding for the planned merger, a source familiar with the situation said. FCA and PSA have said they would seek to finalize a deal by year-end to create a group with 8.7 million in annual vehicle sales. That would put it fourth globally behind Volkswagen, Toyota and the Renault-Nissan alliance. PSA's Carlos Tavares will be chief executive and FCA's John Elkann — the scion of Italy's Agnelli family, which controls FCA through their holding company Exor — chairman of the combined company. The group will include the Fiat, Jeep, Dodge, Ram, Chrysler, Alfa Romeo, Maserati, Peugeot, DS, Opel and Vauxhall brands, allowing it to serve mass and premium passenger car markets as well as those for trucks and light commercial vehicles. Feds accuse Fiat Chrysler, UAW of conspiring to break labor laws

DETROIT — Top officials of Fiat Chrysler Automobiles and the United Auto Workers union conspired to violate U.S. labor laws, federal prosecutors alleged in a court document, saying a former executive at the automaker knew bribes paid to union leaders were designed to "grease the skids" in labor negotiations. U.S. Justice Department officials for the first time called the company and the union "co-conspirators" in a document related to a guilty plea agreed by former Fiat Chrysler director of employee relations Michael Brown. The document was filed with the U.S. District Court in Detroit on May 25. Its contents were reported by the Detroit News on Wednesday. Brown pleaded guilty to one count of concealing a felony. The plea agreement stated that he knew Fiat Chrysler executives authorized $1.5 million in improper payments and travel, liquor, cigars and other goods for UAW officials who served on the union's negotiating committee. Prosecutors say FCA executives paid UAW representatives to influence union business. including collective bargaining on contracts ratified in 2011 and 2015. The government contends money was run through the UAW-Chrysler National Training Center, via false charitable donations and training center credit cards. Fiat Chrysler Chief Executive Officer Sergio Marchionne has said in the past that the misconduct "had nothing whatsoever to do with the collective bargaining process" and the "egregious acts were neither known to nor sanctioned" by the company. Fiat Chrysler had no further comment Monday. Outgoing UAW President Dennis Williams told union leaders at a conference in Detroit on Monday "our leadership team had no knowledge of the misconduct — which involved former union members and former auto executives — until it was brought to our attention by the government." Brown pleaded guilty on May 25, according to court documents, and will be sentenced on Sept. 20. Five other people have pleaded guilty in the government's ongoing investigation into the UAW and Fiat Chrysler, including the wife of a late UAW official, two other former UAW employees, former Fiat Chrysler vice president Alphons Iacobelli and another former Fiat Chrysler employee. Buyer says Dodge dealer gave him wrong Charger, failed to notice for 2 months

Mistakes happen, and they happen all the time. But when that mistake means a customer doesn't get what he or she paid for, something's gotta give. That's what one Dodge Charger buyer claims he is trying to sort out with his local dealership. Two months after taking delivery, the owner (going by the user name Dakrbouncer4689 on Reddit) says he got a call from his local Dodge dealership reporting a little problem. He had ordered and paid for the Charger SXT (pictured above on the dealer lot), but was given a Charger SE instead. The SE being the lower trim level, this presented one set of problems – namely a $2,000 discrepancy in equipment, like a five-speed automatic versus an eight-speed, a 4.3-inch infotainment display instead of 8.4, heated seats, leather steering wheel, premium audio, remote starter and so on. The second set of issues is that the VIN number on the paperwork (including the registration and insurance papers) of course doesn't match that of the car itself. The dealer, having obviously made a rather large mistake, apparently called the owner in to sort out the mess, but according to the customer's account, things didn't go as smoothly. Instead of immediately working to address the problem, the salesman kept the owner waiting, acted like it was no big deal, and offered only to swap the cars with no compensation for the trouble. Fortunately, the manager proved more sympathetic and apologetic, and offered the customer three options: he could swap the cars (re-doing the tinted windows on the SXT that the customer had done on the SE and throwing in leather seats for free), he could keep the SE (with the dealership handling the paperwork, throwing in the leather seats, adjusting the price and refunding an extra $400), or they could cancel everything, return the car and part company. As we go to press, the Charger owner had yet to make (or at least share) his decision. But while the principle of caveat emptor makes us wonder how he managed to take home a different car from the one he paid for, clearly the salesman and the dealership made a pretty large mistake by presenting him with the wrong set of keys and letting him off the lot without double checking it all.
