Stellantis mega-merger gets approval from FCA, PSA shareholders

MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. The deal will create the worldÂ’s fourth-largest carmaker, with the capacity to produce 8.7 million cars a year, behind Volkswagen, Toyota and Renault-Nissan, and create 5 billion euros in annual synergies.  “We are fully aware of the fact that together we will be stronger than individually,'' PSA CEO Carlos Tavares told a virtual gathering of eligible shareholders. “The two companies are in good health. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.

Dubbed the Hellcat X after the XF6F, a twin-charged US Navy prototype that evolved into the Hellcat fighter from World War II. Its 6.2-liter, supercharged V8 has been supplemented by a turbocharger, boosting output to 805 horsepower. Because, you know, 707 just wasn't quite enough. It should be noted that the Hellcat X isn't a production model – Fiat Chrysler isn't going to be putting a twin-charged Hemi into production – but that it's a one-off job built for the 2015 Chrysler Nationals at Carlisle. Joining the Hellcat X is a handsome, black 1970 Challenger 440 R/T. Complete with a four-barrel carburetor (yeah, we were hoping for a Six Pack, as well), a pistol-grip shifter, and menacing black paint, this exact car was the star of 2012's "Revolution Reborn" television spot. And if this car's on-air claim to fame isn't enough, rest easy knowing you're the owner of just one of 100 black 440 R/Ts produced in 1970. Now, single tickets do start at $3, although there are larger bundles available, including a $5,000, 6,000-ticket package. Proceeds from the drawing, which is being put on by Dream Giveaway, will go towards New Beginning Children's Home charity, which issues grants to everything from the National Guard Educational Foundation to Mothers Against Drunk Driving. Could self-driving cars stop terrorist attacks?

Terrorists have taken to using a weapon that's easy to obtain and can do a lot of damage: ordinary vehicles, driven into crowds. A Department of Homeland Security-FBI bulletin from 2012 warned that "vehicle-ramming offers terrorists with limited access to explosives or weapons an opportunity to conduct a homeland attack with minimal prior training or experience." CNN recently listed nine vehicle-based terrorist attacks that have occurred within the past year, and in just in the past three months incidents in New York, Edmonton and Barcelona have claimed more than 20 lives and injured dozens after ISIS-affiliated drivers plowed into pedestrians. The deadliest so far was a Bastille Day attack in Nice, France that killed 86 people after a terrorist drove a truck into a crowd following a fireworks display. CNN also reported that "Al Qaeda's Yemeni branch encouraged its recruits in the West to use trucks as weapons," and noted that a 2010 article in the terrorist group's webzine called for deploying a truck as a "mowing machine, not to mow grass but mow down the enemies of Allah." Such attacks have been more common in Europe and other places where guns are harder to get, making vehicles violent and readily available weapons. But it's not only ISIS and Al Qaeda terrorists that have turned cars into weapons. A man with white nationalist ties drove a Dodge Challenger into a crowd of counter-protesters at the Unite the Right rally in Charlottesville, Va., in August, killing a 32-year-old woman and injuring dozens more. Some believe that autonomous vehicle technology could help stop these tragedies. "Terrorist attacks like the one in New York are a good example of why we need AVs more quickly," Caleb Watney, technology policy associate at the R Street Institute, a D.C.-based think tank, recently told the website Inverse. Dr. Junfeng Jiao, director of the Urban Information Lab at the University of Texas, told Inverse that "these tragedies may be taken into account by the makers such as Tesla and Google" when developing autonomous technology. "This is a huge opportunity for the next generation to de-weaponize cars," he added. Many vehicles already have forward collision warning with emergency autonomous braking, and a few combine it with pedestrian detection, although the latter technology typically works at speeds below 20 mph.
