Fiat board makes Chrysler merger official, approves $5.4B bond sale

Fiat's board of directors has officially approved the merger plan that will see the conglomerate's automotive operations merged with Chrysler into the new Fiat Chrysler Automobiles.
The plan essentially provides a road map for the structure of the new company. It includes provisions for Fiat shareholders - one Fiat share will translate to one share of FCA common stock. The new company will also include a loyalty voting structure, which will provide for shareholders of Fiat stock or those that have held FCA stock for at least three years. According to the plan, these shareholders would see their voting power double, with two votes for every share of FCA's common stock. The overall merger plan still needs to be approved by the company's shareholders.
In other Fiat-related news, the company's board has announced a bond issuance of four billion euro ($5.4 billion). The new bonds should provide the company with a degree of flexibility in refinancing debts associated with the merger plan.

Junkyard Gem: 2004 Chrysler PT Cruiser GT

Many claim to hate the Chrysler PT Cruiser now, though better than a million were sold in the United States during the retro-styled little truck's production run (the NHTSA classified the PT Cruiser as a truck, so that's what we'll call it). I didn't start finding many PT Cruisers in junkyards until about 10 years ago, at which point the Chrysler section in just about every big self-service yard became choked with row upon row of them. While most of these cars trucks were ordinary— if cute-looking— transportation appliances, Chrysler built some with turbocharged 2.4-liter engines and five-speed manual transmissions. Here is one of those rare machines, found in a Northern California self-service yard last month. The PT Cruiser was based on the Neon, meaning that it was no sweat to take any high-performance Neon bits and swap them onto its sibling. The PT Cruiser GT didn't quite get the same running gear as the SRT-4 Neon, but it was a genuine factory hot rod. The heart of the PT Cruiser GT was this turbocharged 2.4-liter engine, rated at 215 horsepower in the 2003-2005 version. The naturally-aspirated 2.4 that went into ordinary PT Cruisers made 150 horses in 2004. While a Getrag five-speed manual transmission was standard equipment (at least at the lower-end trim levels) for all but the final year of the Cruiser's 2001–2010 American sales run, nearly every buyer paid what it took to get the optional four-speed automatic. That didn't happen with this car truck, which has the five-speed. The GT also got better brakes, bigger wheels, a stiffer suspension, a lower ride height, and a louder exhaust. What's not to like? Judge refuses to reconsider GM lawsuit against Fiat Chrysler

A federal judge in Detroit said Friday that he will not reconsider his July dismissal of General Motors’ racketeering lawsuit against Fiat Chrysler Automobiles. U.S. District Judge Paul Borman wrote in an opinion that new evidence presented by GM regarding bribes and foreign bank accounts “is too speculative to warrant reopening” the case. Borman also ruled that the earlier dismissal of the case was not done in legal error. GM alleged that FCA used foreign bank accounts to pay bribes to former United Auto Workers Presidents Dennis Williams and Ron Gettelfinger, as well as Vice President Joe Ashton. It also alleges that money was paid to GM employees including Al Iacobelli, a former FCA labor negotiator who was hired and later released by GM. GM said the payments were made so the officials would saddle GM with more than $1 billion in additional labor costs. “Even if the affidavits establish that these foreign bank accounts exist, that fact does not rise to the inference advanced by GM, that FCA was more-than-likely using the bank accounts to bribe UAW officials,” BormanÂ’s order stated. GM said Friday that it would appeal BormanÂ’s ruling to the Sixth Circuit Court of Appeals. “TodayÂ’s decision is disappointing, as the corruption in this case is proven given the many guilty pleas from the ongoing federal investigation,” GM said in a statement. “GMÂ’s suit will continue — we will not accept corruption.” FCA lawyers wrote in court documents that allegations it bribed union officials are “preposterous” and read like a script from a “third-rate spy movie.” Gettelfinger denied the allegations in a statement and said he had no foreign accounts. WilliamsÂ’ California home was raided by federal agents but he has not been charged. Iacobelli, who is awaiting sentencing in the federal corruption probe, also denied the claims. “Judge BormanÂ’s ruling this morning once again confirms what we have said from the beginning — that GMÂ’s lawsuit is meritless and its attempt to submit an amended complaint under the guise of asking the court to change its mind was nothing more than a baseless attempt to smear a competitor that is winning in the marketplace,” FCA said Friday in a statement.
