Investors want answers about Marchionne’s final days

The mystery of Sergio Marchionne's surprise death last week continues, with investors now questioning the timeliness of disclosures by the company and family. Bloomberg reports that Italy's market regulator is making a routine check into how Fiat Chrysler handled communications regarding his illness. Fiat Chrysler's stock is down 12 percent in both Italy and on the New York Stock Exchange since the announcement of Marchionne's death. University Hospital Zurich last week issued a statement saying that Marchionne, who died July 25 while recovering from an unspecified should surgery, had been treated for more than a year for a serious illness that it didn't define. Marchionne's family told Reuters the companies hadn't been aware of his health conditions. The Italian business website Lettera 43 reported July 5, and FCA later confirmed, that Marchionne had undergone shoulder surgery in a Swiss hospital. But the company later denied a July 20 report by the website that Fiat Chairman John Elkann planned to meet with company leaders to divide Marchionne's responsibilities. Yet the FCA board indeed met on July 21 and chose Mike Manley, who had formerly overseen the Jeep and Ram brands, to succeed Marchionne as CEO. The company on July 25 published a brief statement acknowledging the former CEO's death. "Unfortunately, what we feared has come to pass. Sergio Marchionne, man and friend, is gone," Elkann said in the statement. Marchionne told no one outside his inner circle — reportedly not even Elkann — that he was seriously ill. His partner, Manuela Battezzato, who works in Fiat's press department, told Bloomberg that Marchionne's family didn't tell the company about his health condition. The famously hard-working CEO, who had quit smoking about a year ago, had also reportedly stopped responding to messages and calls from some advisors since the end of June. People close to him told Bloomberg that Marchionne died from complications following the shoulder surgery, including two cardiac arrests. Continental Automotive recalls 5 million airbag control units

Takata isn't the only supplier having airbag problems. Rival manufacturer Continental Automotive Systems announced a recall of 5 million airbag control units fitted to vehicles from Honda, Fiat Chrysler Automotive, Mercedes-Benz, and even a certain Chrysler-based Volkswagen. This sweeping recall has actually been in progress for some time, although the exact scope is only now becoming evident. In October of 2015, Mercedes-Benz recalled 2008 and 2009 model year C- and GLK-Class vehicles because their Continental-made airbag control units could corrode. Such a condition could cause the airbags to deploy without cause or warning, or in the event of a crash, not deploy at all. You can read all about it in our post from last year. Now, Continental's recall is going wide. Alongside the already recalled C and GLK, you've already heard about the 2008 and 2009 Honda Accord airbag recall, which we reported on yesterday. Now, Fiat Chrysler is announcing the recall of the 2009 Dodge Journey, as well as the 2008 and 2009 Dodge Grand Caravan, Chrysler Town and Country, and their rebadged counterpart, the Volkswagen Routan. Yes, one manufacturer is recalling another manufacturer's vehicle. The models listed above only amount to about 580,000 vehicles out of 5 million bad airbag control units. And since Continental will notify manufacturers who will then issue their own recalls, it's extremely likely that more brands and vehicles will be ensnared. Stay tuned. FCA CEO Sergio Marchionne wants industry consolidation but without any deal takers it seems as though he's ready to consider a hostile takeover. Show full video transcript text [00:00:00] It's no secret that FCA CEO Sergio Marchionne wants industry consolidation but without any deal takers it seems as though he's ready to consider a hostile takeover. I'm Chris McGraw and this is your Autoblog Minute. Marchionne is tired of waiting for the industry to get on board with his consolidation plan. In an interview with Automotive News Marchionne was quoted as saying, "it would be unconscionable not to force a partner." And when pushed further about the nature of any potential takeover plan the FCA chief had this to say: "Not hostile. There are varying degrees of hugs. I can hug you nicely, I can hug you tightly, I can hug you like a bear, I can really hug you. Everything starts with physical contact. Then it can degrade, but it starts with physical contact." Metaphor aside, Marchionne suggests his numbers for a GM-FCA merger are irrefutable, pointing to potential global earnings of a 30 billion dollars. Without a merger deal on the horizon we have to wonder if an FCA takeover of GM even possible.
