Fiat seeking $10B in financing to buy Chrysler

As Fiat looks to become the full owner of Chrysler, all it has standing in its way is the retiree trust of the United Auto Workers, which currently holds the remaining 41.5 percent of the company as the result of the Pentastar's bankruptcy deal. The Detroit News is reporting that that Fiat is currently talking to numerous banks in an attempt to raise around $10 billion to fund the purchase of Chrysler's remaining stake with enough left over to refinance the debt of both companies. We've known that Fiat has been working to obtain the capital to buy out Chrysler for some time now, but this is the first time we've seen Fiat tip its hand about how much cash it thinks it will need to close the deal.
The first order of business is a legal dispute over the value of the UAW's stake in Chrysler, which the report indicates could cost Fiat around $3.5 billion. The acquisition of remaining shares could happen by this summer, but it sounds like CEO Sergio Marchionne (above) might not be ready for a full merger until next year.

Chrysler celebrates 90 years with special trim levels

Ninety years is a long time for any business to stick around, and it's especially difficult in the auto industry. Chrysler is celebrating the milestone this year by loading on extra tech with 90th Anniversary Edition packages for the 200, 300, and Town & Country. Chrysler's 90th Anniversary Edition for the 2016 300 is based on the Limited trim, and it includes an 8.4-inch UConnect infotainment system with navigation, SiriusXM radio, and a custom splash screen. In addition, buyers get a dual-pane sunroof and floor mats with the anniversary logo. Separately, the 2016 300S is available with a retuned suspension and steering that includes increased spring rates, larger sway bars, and set of Goodyear Eagle F1 tires. The 200's 90th Anniversary Edition is also based on the Limited trim, and the package adds an 8.4-inch Uconnect system without navigation, sunroof, heated mirrors, a leather-wrapped steering wheel, power seats, and custom floor mats. For 2016, the Limited also has blind-spot monitoring and rear cross-path detection as a standalone option, and it and the S version get a standard backup camera. The 200C now comes with a heated steering wheel, as well. Finally, the Town & Country is due for a replacement in early 2016, but the current version gets to celebrate the 90th anniversary, too. Based on the Touring-L trim, the package adds a power sunroof, bright door handles, heated seats for the first two rows, a heated steering wheel, and keyless ignition. Federal judge orders Barra and Manley to try to resolve GM racketeering lawsuit

DETROIT — A federal judge in Detroit on Tuesday ordered the chief executives of automakers General Motors and Fiat Chrysler Automobiles to meet by July 1 to try to resolve GM's racketeering lawsuit. U.S. District Court Judge Paul Borman called on GM CEO Mary Barra and FCA CEO Mike Manley to meet in person to try to resolve a case that could drag on for years. "What a waste of time and resources now and for the years to come in this mega-litigation if these automotive leaders and their large teams of lawyers are required to focus significant time-consuming efforts to pursue this nuclear-option lawsuit if it goes forward," Borman said at the end of a hearing during which FCA asked the judge to dismiss GM's lawsuit. Borman said instead, the companies need to focus on building cars and keeping people employed at a time when the coronavirus has hurt the U.S. economy and the country is also dealing with issues of racial injustice after the death of George Floyd, a Black man whose death in police custody in Minneapolis triggered worldwide protests. GM filed the racketeering lawsuit against FCA last November, alleging its rival bribed United Auto Workers (UAW) union officials over many years to corrupt the bargaining process and gain advantages, costing GM billions of dollars. GM is seeking "substantial damages" that one analyst said could total at least $6 billion. Barra and Manley should meet, taking into account social distancing to keep them safe, to "explore and indeed reach a sensible resolution," Borman said in the hearing, which was broadcast online. It is common for judges to order parties to try to resolve disputes out of court. But it is unusual that the chief executives of two big companies be instructed to meet face-to-face, not just to settle their differences but also to serve a greater good. A GM spokesman said the No. 1 U.S. automaker has a strong case and "we look forward to constructive dialogue with FCA consistent with the courtÂ’s order.” FCA had no immediate comment. Borman said he wanted to hear from Barra and Manley personally at noon on July 1 to provide him with results from their discussion.
