Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. Chrysler extends fuel tank warranties on LX cars, NHTSA ends probe

The National Highway Traffic Safety Administration has ended its investigation of 153,817, 5.7-liter and 6.1-liter Hemi V8-powered 2006 Chrysler 300, Dodge Charger and Dodge Magnum models after reports of stalling. Chrysler has responded by granting a lifetime warranty on the fuel tanks for these vehicles.
NHTSA received 299 reports of engines stalling while the models were stopped or driving at low speeds, and began an investigation. The government agency found that the control valve shutoff float in the V8s' 19-gallon fuel tank could malfunction if the fuel had too high of an ethanol content. In many cases, the valve would break in the open position, allowing the tank to be overfilled, which would then cause the cars to stall. However, there were no accidents reported, and the vehicles could be restarted immediately.
There will not be a recall on these vehicles because, "the condition represents a low risk to motor vehicle safety and is adequately addressed by Chrysler's extended warranty," NHTSA said to The Detroit News.

Jeep Wrangler diesel likely after 2015 model refresh

We automotive journalists aren't always the right people to ask about whether a US-spec vehicle should or should not be offered with a diesel powertrain (hint: the answer is usually "YES"). But when it comes to the iconic, off-road-ready Jeep Wrangler, we aren't the only ones who have been clamoring for an oil-burning engine behind that famous seven-slat grille. To that end, it appears there's good news on the horizon, as Jeep CEO Mike Manley recently told Ward's Auto that the "Wrangler is on the radar to get (a) diesel."
"I'm confident that the Grand Cherokee will show just how large a demand there is for diesel, and I think what that will do is reinforce the need for us to target Wrangler as a vehicle that can take a diesel," Manley told Ward's. The most rugged of Jeeps is scheduled to get an overhaul around 2015-16, and the diesel powertrain will likely be introduced around that time.
This year alone, Chrysler will be adding a diesel engine to the Grand Cherokee SUV, as well as the Ram 1500 pickup and Promaster utility van.
