Stellantis mega-merger gets approval from FCA, PSA shareholders

MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. The deal will create the worldÂ’s fourth-largest carmaker, with the capacity to produce 8.7 million cars a year, behind Volkswagen, Toyota and Renault-Nissan, and create 5 billion euros in annual synergies.  “We are fully aware of the fact that together we will be stronger than individually,'' PSA CEO Carlos Tavares told a virtual gathering of eligible shareholders. “The two companies are in good health. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.

Huge Canadian sinkhole destroys four-lane road, swallows car

A major thoroughfare in the Canadian capital city of Ottawa was closed after a huge sinkhole opened beneath it. According to the CBC, the sinkhole appeared around mid-morning on Wednesday on Rideau Street near its intersection with Sussex Drive. The sinkhole, which initially formed over an unstable vein of sand, silt, and fractured rock, quickly spread across all four lanes of Rideau Street. A high-pressure natural gas line and a water main were shattered by the road collapse, filling the deep hole with water, gas, and fumes and forcing the evacuation of numerous surrounding buildings. All traffic save for buses and taxis had already been banned from the area due to excavation for a light rail station, but a Chrysler minivan parked along Rideau street fell into the hole as it expanded. Construction workers working in the light rail site evacuated safely once the road began collapsing, and no injuries were reported. Ottawa mayor Jim Watson told The Guardian that there was no sure way to tell how long repairs to Rideau Street would take. "It's a significant sinkhole in the downtown core. It has a major impact on our largest retail shopping center, one of our major hotels as well as one of the busiest intersections and bus routes." This is the second sinkhole to appear in downtown Ottawa in recent years. In 2014, a nearly thirty-foot wide sinkhole caused by excavation for the light rail system opened just a few blocks away from Rideau and Sussex. Watson stated that it is too soon to say whether or not Wednesday's sink hole was related to light rail construction. "We can't confirm whether the tunnel had any impact on the sinkhole or whether it was a water main break or whether it was a leak of some type that destabilized the soil." Watson went on to say that he hoped that city officials would be able to pinpoint the exact cause of the collapse soon. Continental Automotive recalls 5 million airbag control units

Takata isn't the only supplier having airbag problems. Rival manufacturer Continental Automotive Systems announced a recall of 5 million airbag control units fitted to vehicles from Honda, Fiat Chrysler Automotive, Mercedes-Benz, and even a certain Chrysler-based Volkswagen. This sweeping recall has actually been in progress for some time, although the exact scope is only now becoming evident. In October of 2015, Mercedes-Benz recalled 2008 and 2009 model year C- and GLK-Class vehicles because their Continental-made airbag control units could corrode. Such a condition could cause the airbags to deploy without cause or warning, or in the event of a crash, not deploy at all. You can read all about it in our post from last year. Now, Continental's recall is going wide. Alongside the already recalled C and GLK, you've already heard about the 2008 and 2009 Honda Accord airbag recall, which we reported on yesterday. Now, Fiat Chrysler is announcing the recall of the 2009 Dodge Journey, as well as the 2008 and 2009 Dodge Grand Caravan, Chrysler Town and Country, and their rebadged counterpart, the Volkswagen Routan. Yes, one manufacturer is recalling another manufacturer's vehicle. The models listed above only amount to about 580,000 vehicles out of 5 million bad airbag control units. And since Continental will notify manufacturers who will then issue their own recalls, it's extremely likely that more brands and vehicles will be ensnared. Stay tuned.
