Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. How to update and secure a vulnerable Chrysler Uconnect system

If you own one of the 1.4 million vehicles affected by the recent Chrysler software recall, you may want to watch this video. In it, we explain how to get the latest infotainment software loaded onto the 8.4-inch Uconnect system. The recall was a response to the findings of researchers who were able to hack into and remotely control a 2014 Jeep Cherokee through its cellular connection. Although Fiat Chrysler has worked with Sprint to plug most of the holes on the carrier side, there are still some vulnerabilities that only this latest software version can patch. Owners have three options to get the update: download it now, wait for a USB stick in the mail, or take the vehicle to an FCA dealer. Chrysler will be sending USB sticks loaded with the software update to customers. Anyone with an internet connection and a USB stick of their own with at least 4 GB capacity can speed things up by downloading the patch from the Uconnect website. We cover that process from start to finish in the video, with the final portion still applicable to those using the FCA-supplied USB stick. If after watching this you still don't want to tackle the patch yourself, you can take your vehicle to the dealer to have it done. The procedure should be very similar on other products with the 8.4-inch Uconnect system, with only the location of the USB port varying. Once you have the USB stick with the software on it – either after having downloaded it yourself or receiving it in the mail from Chrysler – the installation process is relatively simple. To check whether or not your car's 8.4-inch Uconnect system is running the latest software, go to System Information on the touch screen's Settings page and look at Software Version. Junkyard Gem: 1987 Chrysler Conquest TSi

If you feel like stumping your friends with a very trivial car-trivia question, try this one: What car model was sold in the United States with badging from Plymouth, Dodge, and Chrysler? They'll tell you it's the Neon, which was badged as a Chrysler outside of the USA, and you'll point out the "in the United States" qualification and feel smug in your superior automotive knowledge. The correct answer is, of course, the Conquest, which was a rebadged Mitsubishi Starion. Here's a Chrysler Conquest TSi, found in a Denver-area self-service wrecking yard. The TSi was the factory-hot-rod version of the Conquest, with intercooling for its 2.6-liter Mitsubishi Astron four-cylinder engine and 176 horsepower— pretty serious for 1987. For 1984 through 1986, the Conquest could be had with either Dodge or Plymouth branding; the 1987-1989 Conquests are all Chryslers. This one is rough, though the odometer shows that it never even reached 150,000 miles.
