Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. Big Black Friday discounts key to Chrysler 200 sales success

A lot of people go shopping for deals on TVs or computers around the holiday season, but it looks like some folks are finding some fantastic deals on cars too. Take the Chrysler 200 for example. The new sedan had a great November in terms of sales, and by Chrysler's numbers, it delivered 14,317 of them for the month, a 155 percent increase from the same month last year. It even beat the November 2013 sales of the old 200 and Dodge Avenger combined. However, a report from Daily Kanban based on TrueCar data suggests that the good month came at least in part from steep incentives. Based on 20,156 sales of the 200 from TrueCar's database, average transaction prices were about $2,500 to $4,000 under MSRP for all but the base LX front-wheel drive model. That one actually went for about $68 above the typical base price. Going by these numbers, most people could have bought nearly any trim cheaper than the listed price of the one above it. For example, the top C AWD averaged $27,423, less money than the stated MSRP of the lower-spec S AWD. TrueCar's website also shows 200 pricing dipping in the latter part of November and into early December. There's no doubt that the 200 had a stellar month for November. But these figures suggest that it might have come partially because buyers found stacks of money on 200 hoods, while out doing some holiday shopping. Related Video:

Dodge revamping lineup with AWD Challenger and lighter Charger

Dodge's current lineup is aging rapidly. The Charger, for example, is going on 5 years old but its platform dates back to 2006. FCA, according to Automotive News, is working on revitalizing Dodge's lineup with the first of some new models debuting later this year. The report reveals plans for the majority of FCA's brands, but the most interesting bit of information is an all-wheel-drive model for the Dodge Challenger, which is being referred to as the GT AWD. Mopar unveiled the Challenger GT AWD Concept at SEMA last year as a concept, but it looks like the idea stuck. The vehicle is set to make its debut this fall and will lead the way for a wide-body, Hellcat-powered version that will be released in 2017. That model will be called the Challenger ADR. The entire Challenger lineup will be redesigned in 2018, which includes switching over to the lighter Giorgio platform - the same one that underpins the Alfa Romeo Guilia Dodge will also redesign the Charger to accommodate the new Giorgio platform in 2018. A new two-door convertible could debut in 2021, resurrecting the Barracuda moniker. The aging Dodge Durango will get a light refresh in 2017 with the addition of an SRT model, which Automotive News reports will feature a 6.4-liter V8 engine. Other changes are in store for other FCA brands, including the debut of full-size crossover in 2018 for Chrysler, which will be followed by a midsize crossover in 2019. The Jeep Compass and Wrangler will get a redesign for 2017, with the Cherokee getting a light makeover, as well. The Wrangler-based pickup truck, which we recently spotted testing, is set for its debut in 2018, while the Wagoneer will come out a year later.
