Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. The tour-de-garage starts with a 1953 Cunningham that had been in storage since '68, complete with a copper grille ready for plating and a 331 Hemi V8. Jay says that every one of the cars that Briggs Cunningham made is still on the road – but that's just one of the dozen or so projects Jay and company are working on. There's a suitably brown '71 Porsche 911 T in near-original condition having sat untouched parked underground in Beverly Hills for decades, and a '58 Chrysler Imperial convertible once driven by Clark Gable and Frank Sinatra, and now getting a brake upgrade. There's a Volvo 122 wagon that's been stripped down, media-blasted, and powder-coated, a thousand-horsepower Rolls-Royce, a 1960 Nash Metropolitan, a supercharged Mercedes-Benz 600 Pullman, and a 1914 Detroit Electric. And those are just the four-wheeled automobiles. Over in the two-wheeler section there's a pair of Brough Superiors, a BSA, an Indian, and a custom racing sidecar that Jay's mechanic Bernard is working on. Car dealership in East Texas destroyed by tornado

Few things are as fundamentally and unconditionally destructive as a tornado. These cataclysmic phenomena pass through towns, leaving nothing in their wake but ruin and despair. According to an NBC affiliate in the Dallas-Fort Worth region, a car dealership in nearby Canton was hit by a tornado Saturday night. No employees were hurt. Four other people in the area weren't so lucky. Chrysler Dodge Jeep Ram of Canton's new showroom and service center were pounded by the storm, leaving dozens of cars in various states of ruin. Some merely lost windows, while others were flipped and left on their sides or roofs. Photos show piles of cars stacked up like Hot Wheels dumped on the ground. According to a statement from the National Weather Service, winds reached speeds of up to 140 mph. Two other tornadoes were reported in the region. The area has been declared a disaster zone and first responders from up to 100 miles away have swarmed in to help out those in need. According to Reuters, the storms Saturday killed 11 people nationwide.
