Investors want answers about Marchionne’s final days

The mystery of Sergio Marchionne's surprise death last week continues, with investors now questioning the timeliness of disclosures by the company and family. Bloomberg reports that Italy's market regulator is making a routine check into how Fiat Chrysler handled communications regarding his illness. Fiat Chrysler's stock is down 12 percent in both Italy and on the New York Stock Exchange since the announcement of Marchionne's death. University Hospital Zurich last week issued a statement saying that Marchionne, who died July 25 while recovering from an unspecified should surgery, had been treated for more than a year for a serious illness that it didn't define. Marchionne's family told Reuters the companies hadn't been aware of his health conditions. The Italian business website Lettera 43 reported July 5, and FCA later confirmed, that Marchionne had undergone shoulder surgery in a Swiss hospital. But the company later denied a July 20 report by the website that Fiat Chairman John Elkann planned to meet with company leaders to divide Marchionne's responsibilities. Yet the FCA board indeed met on July 21 and chose Mike Manley, who had formerly overseen the Jeep and Ram brands, to succeed Marchionne as CEO. The company on July 25 published a brief statement acknowledging the former CEO's death. "Unfortunately, what we feared has come to pass. Sergio Marchionne, man and friend, is gone," Elkann said in the statement. Marchionne told no one outside his inner circle — reportedly not even Elkann — that he was seriously ill. His partner, Manuela Battezzato, who works in Fiat's press department, told Bloomberg that Marchionne's family didn't tell the company about his health condition. The famously hard-working CEO, who had quit smoking about a year ago, had also reportedly stopped responding to messages and calls from some advisors since the end of June. People close to him told Bloomberg that Marchionne died from complications following the shoulder surgery, including two cardiac arrests. Fiat Chrysler recalls 4.8 million U.S. vehicles for cruise control defect

WASHINGTON - Fiat Chrysler said on Friday it is recalling 4.8 million U.S. vehicles over a defect that could prevent drivers from deactivating cruise control and warned owners not to use the function until they get software upgrades. The Italian-American automaker said no injuries or crashes are related to the large recall campaign but said it had one report of a driver of a 2017 Dodge Journey rental car unable to deactivate the cruise control. Fiat Chrysler, which in 2015 was hit with penalties from U.S. regulators totaling $175 million for safety lapses, did not say how much the recalls would cost. The recall addresses what Fiat Chrysler called an "extremely rare" series of events that could lead to drivers being unable to cancel cruise control. The National Highway Traffic Safety Administration (NHTSA) said on Friday it "strongly encourages vehicle owners to follow a warning" to stop using cruise control on the recalled vehicles until repaired. NHTSA said drivers could overpower the system by forcefully applying the brakes until the vehicle stopped. Fiat Chrysler also said the vehicle could be stopped by shifting into neutral and braking. Fiat Chrysler shares fell more than 2 percent in premarket trading in New York on the recall. Fiat Chrysler noted that at times cruise control systems automatically initiate acceleration to help vehicles maintain driver-selected speeds, including when going up an incline. If an acceleration occurs simultaneously with a short-circuit in a specific electrical network, a driver could be unable to deactivate the function. Fiat Chrysler said vehicles may be placed in park once stopped, at which point cruise-control is canceled. The recall involves a group of gasoline-powered vehicles with automatic transmissions from various model years built from 2014 through the 2019 model year. Most of the vehicles being recalled cover the 2014-2018 model years. Among the vehicles being recalled are the Chrysler 200, Chrysler 300, Chrysler Pacifica, Dodge Charger, Dodge Challenger, Dodge Journey, Dodge Durango, Jeep Cherokee, Jeep Grand Cherokee, Jeep Wrangler and Ram 1500, 2500 and 3500 pickup trucks and Ram 3500/4500/5500 cab chassis trucks. Fiat Chrysler made the announcement going into the busy Memorial Day weekend, which traditionally kicks off the summer driving season.

European new car sales drop nearly 8% in first half of 2019

PARIS — European car sales dropped 7.9% in June, led by bigger declines for Nissan, Volvo and Fiat Chrysler (FCA), according to industry data published on Wednesday. Registrations fell to 1.49 million cars last month from 1.62 million a year earlier across the European Union and EFTA countries, the Brussels-based Association of European Carmakers said in a statement. Calendar effects resulted in two fewer sales days in most markets, accentuating the decline. Registrations for the first half closed 3.1% lower, ACEA said. For European carmakers, weakening demand at home compounds the pressure from a sharper contraction in China and emerging markets that may yet bring more profit warnings. NissanÂ’s aging model lineup contributed to a 26.6% June sales slump while Volvo Cars, owned by ChinaÂ’s Geely, saw deliveries tumble 21.7%. Registrations also fell 13.5% last month at FCA, 10.1% at BMW, 9.6% at Volkswagen Group and 8.2% for both Mercedes parent Daimler and FranceÂ’s PSA Group.
