VW makes $9.2B offer for rest of truckmaker Scania

Volkswagen owns or has controlling interests in three commercial truck operations: besides its own, VW began buying shares in Sweden's Scania in 2000 and now controls 89.2 percent of its shares and 62.6 percent of its capital, then bought into Germany's Man in 2006 - in order to prevent Man from trying to take over Scania - and now owns 75 percent of it. The car company has managed to work out 200 million euros in savings, but believes it can unlock a total of 650 million euros in savings if it takes outright control of Scania and can spread more common parts among the three divisions.
It has proposed a 6.7-billion-euro ($9.2 billion) buyout, but according to a Bloomberg report, Scania's minority investors don't appear inclined to the deal. Although effectively controlled by VW, Scania is an independently-listed Swedish company, and a profitable one at that: in the January-September 2013 period its operating profit was 9.4 percent compared to Man's 0.4 percent. Some of the other shareholders believe that Scania is better off on its own and will not approve the deal, some have asked an auditor to look into the potential conflict of interest between VW and Man, while some are willing to examine the deal and "make an evaluation based on what a long-term owner finds is good," which might not be just "the stock market price plus a few percent." The buyout will only be official assuming VW can reach the 90-percent share threshold that Swedish law mandates for a squeeze-out.
Many of the arguments against boil down to investors believing that Scania's Swedishness and unique offerings are what keep it profitable, and ownership by the German car company will kill that. (Have we heard that somewhere before?) If Volkswagen can buy that additional 0.8-percent share in Scania, perhaps its buyout wrangling with Man will give it an idea of what it's in for: "dozens" of minority investors in the German truckmaker have filed cases against VW, seeking higher prices for their shares. It is likely only to delay the inevitable, though. If VW is really going to compete with Daimler and Volvo in the truck market, it has to get the size, clout and savings to do so.

MotorWeek recalls the glory days of the VW Cabriolet

Remember the car that the rich, very attractive girl in your high school got on her 16th birthday? Was it a Volkswagen Cabriolet? But time marches on, and the boxy convertibles have attained a certain quirky coolness in the modern day. MotorWeek weighs in with a look at the 1989 model in the latest entry in its Retro Review series. MotorWeek actually comes away rather impressed with the Cabriolet, especially its handling. The show doesn't even complain about the big roll bar over the center of the car that has always looked more like a basket handle than a safety aid. Host John Davis must have enjoyed driving the droptop VW, too – despite his very '80s windbreaker and polo shirt ensemble, he was sporting quite the tan in this clip. The small, inexpensive convertible segment has largely disappeared today, but as MotorWeek shows by comparing the Cabriolet to the Chrysler LeBaron and Chevrolet Cavalier, it wasn't always this way. As many versions of the Golf that Volkswagen offers in America, there are even more available overseas. But if the Alltrack was one that you wished would make the transatlantic voyage to US showrooms, we've got good news for you, because VW has confirmed its bringing the Golf SportWagen Alltrack to America. Revealed last year at the Paris Auto Show, the Golf SportWagen Alltrack is VW's answer to a Volvo Cross Country or Subaru Outback. It starts with the Golf SportWagen, which already offers more space than a standard Golf hatch, but adds to it a higher ride height, lower body cladding, a new front bumper and upgraded cabin space. It also crucially gets 4Motion all-wheel drive, something which was previously available only on the top-of-the-line Golf R. The Haldex 5-based system sends power to the front wheels under normal conditions, but can divert up to 50 percent to the back in slippery situations. VW has yet to confirm just which engine and transmission combinations will be offered in the US-spec Alltrack, but it's offered overseas in four flavors: a gasoline-burning turbo four with 178 horsepower and a trio of diesels ranging in output from 109 hp to 182. The US-spec Golf hatch is offered with either a turbo four or a mid-range TDI before getting into the GTI, Golf R and e-Golf alternatives. The German automaker hasn't confirmed exactly when the first examples are set to hit US showrooms, but they're slated for sometime next year.
