Stellantis mega-merger gets approval from FCA, PSA shareholders

MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. The deal will create the worldÂ’s fourth-largest carmaker, with the capacity to produce 8.7 million cars a year, behind Volkswagen, Toyota and Renault-Nissan, and create 5 billion euros in annual synergies.  “We are fully aware of the fact that together we will be stronger than individually,'' PSA CEO Carlos Tavares told a virtual gathering of eligible shareholders. “The two companies are in good health. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.

The 2018 Ram Limited Tungsten Edition is rough-neck luxury

No one makes offshoots of offshoots quite like FCA. Ram and Jeep in particular seem to have limited edition versions of special edition trims. This week, Ram announced the new Limited Tungsten Edition, a special version of the top-level Limited trim. The packaged adds a number of niceties and is available on the Ram 1500, 2500, and 3500 in a number of cab and bed configurations. The high-end truck market is expanding as customers drop luxury SUVs for kitted-out trucks. The Ram Limited Tungsten Edition adds a number of new features inside and out that make the truck more premium than ever. On the exterior, the 1500 model gets a vented sport hood, body-color bumpers, mirrors, door handles, and running boards, and the massive chrome R-A-M grille. The black headlights are pulled from the Sport model, and the wheels from the Limited trim have a unique satin paint. Ram boasts that the Limited Tungsten Edition has the first suede headliner in the pickup truck segment. Blue and indigo-colored accents are found on the instrument cluster, the steering, wheel, doors, and seats. The deep blue and tan interior is quite handsome and is well matched by the real wood trim. Special badging on the interior marks the model. The luxury truck goes on sale later in 2017, with a base price of $55,120 for the 1500 Limited Tungsten Edition model (compared to $54,270 starting for a 1500 Limited). Ram 1500 TRX Hellcat-powered prototype spied testing in Arizona

For the past few years, FCA has been on a Hellcat craze. Ever since the first Dodge Charger and Dodge Challenger Hellcat debuted, we've seen that supercharged 6.2-liter V8 stuffed under the hood of the bonkers Jeep Grand Cherokee Trackhawk and turned up to 11 in the Demon and new Hellcat Redeye. There was also the Hellcat-powered Ram 1500 TRX concept vehicle, which FCA announced back in May would finally go into production as the Ram TRX. Today, we have our first look at an early prototype. Unlike the Ram 2500 Power Wagon — a personal favorite of mine — the TRX is aimed squarely at the Ford F-150 Raptor. While we don't have any under-hood shots, the photographer said there was no mistaking the whine emanating from the truck for anything but a supercharger. While we don't know how much power the truck will make, expect a minimum of 707 horsepower. For reference, that's 257 more horsepower than the F-150 Raptor. Power is likely to be sent to all four wheels through an eight-speed automatic transmission. Aside from that, there's not much to say about this prototype. While it mostly looks like a Ram 1500 Big Horn, it is fitted with with a set of one-piece Fuel D579 wheels and BF Goodrich All-Terrain T/A tires. It also looks like it has a slightly wider front and rear track than the standard Ram 1500. The longer exhaust tips look temporary and are certainly going to look far more polished on the production model. We don't know when we might see the finished product as FCA's plans were a little more nebulous at this past five year plan. Our fingers are crossed for something this next auto show season.
