Stellantis mega-merger gets approval from FCA, PSA shareholders

MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. The deal will create the worldÂ’s fourth-largest carmaker, with the capacity to produce 8.7 million cars a year, behind Volkswagen, Toyota and Renault-Nissan, and create 5 billion euros in annual synergies.  “We are fully aware of the fact that together we will be stronger than individually,'' PSA CEO Carlos Tavares told a virtual gathering of eligible shareholders. “The two companies are in good health. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.

Ram 1500 EcoDiesel HFE ekes out another mpg, creeps toward 30

The idea of a fullsize pickup knocking on 30-miles-per-gallon highway was impressive last year when Ram announced its 28-mpg figure for the Ram 1500 EcoDiesel. For 2015, the company has figured out how to nudge that number up slightly higher for a new HFE version of the diesel model. The mileage tops the segment and beats the nearest competitor by 12 percent, according to the truckmaker. The 1500 EcoDiesel HFE bumps up the standard version's economy numbers by one mpg across the board for an impressive EPA rating of 29 mpg highway, 21 mpg city and 24 mpg combined. The special model is based around the Quad Cab body with rear-wheel drive and a six-foot, four-inch bed and mixes features from the Trademan and Express trims, including optional body-color bumpers. The right combination of 20-inch wheels, side steps and a tri-fold tonneau cover provides the formula to improve the aerodynamics and increase mileage. Mechanically, the truck has been left alone with the 3.0-liter diesel V6 still making 240 horsepower and 420 pound-feet of torque and routing through an eight-speed automatic gearbox. Like gasoline, diesel fuel prices have been on the decline in recent weeks, though the fuel still runs significantly more per gallon than gas. It's intriguing to see Ram going after buyers who hope to eke the best economy from their trucks. The EcoDiesel HFE will go on sale late in the first quarter of 2015, and brand spokesperson Nick Cappa tells Autoblog pricing will be announced soon. Ram Power Wagon Mojave Sand limited edition has true grit

Just last week Ram informed us of the red and blue Harvest Edition chassis cab trucks that match Case IH and New Holland hardware, and now there's a new color theme edition available. We last saw Ram's Mojave Sand hue on the 2017 Ram Rebel truck, shown to the public at the 2016 Los Angeles Auto Show, but now the color debuts on a Ram Heavy Duty truck for the first time. Ram is introducing a limited, 1,500-unit Mojave Sand edition of the 2018 Power Wagon. The limited edition has contrasting black details and graphics, giving it a nice desert-style look; you won't mistake it with a similarly colored Ram Rebel as the truck proudly proclaims POWER WAGON on the cabin end of the bed — not to mention it rides quite a bit higher. The all-black wheels are also new, shod with 33-inch Goodyears, and the interior is fully black, with features from the Heavy Duty Luxury Group like LED bed lighting and an overhead console. But the Power Wagon is much more than just add-ons: Underneath, it's a 2500 HD 4x4 Crew Cab with the 6.4-liter Hemi V8 providing 410 horsepower. There's a suspension kit offering more than two inches of lift, giving the truck a total of 14.3 inches of ground clearance. As well as an electrically disconnecting front sway bar, there are locking diffs front and rear and a 12,000-pound winch — it's like you're factory-instructed to go deep into Mojave Desert sand and then power your way out of it. The Mojave Sand package is a $795 bump to the standard Power Wagon, meaning the list price starts at over $55,000 including destination fees.
