Fiat Chrysler and Peugeot boards meet to finalize merger

MILAN/PARIS — The boards of Fiat Chrysler Automobiles and Peugeot will meet separately on Tuesday to discuss finalizing an initial agreement for a $50 billion merger to create the world's number four carmaker, sources said. A source close to FCA said the two companies could announce the signing of a binding memorandum early on Wednesday, followed by a conference call to explain further details later in the day. The two mid-sized carmakers announced plans six weeks ago for a tie-up to help them deal with big challenges in the industry, including a global demand downturn and the need to develop costly cleaner cars to meet looming anti-pollution rules. Ahead of the meetings, entities representing the Peugeot family, Etablissements Peugeot Freres (EPF) and FFP, unanimously approved a proposed memorandum of understanding for the planned merger, a source familiar with the situation said. FCA and PSA have said they would seek to finalize a deal by year-end to create a group with 8.7 million in annual vehicle sales. That would put it fourth globally behind Volkswagen, Toyota and the Renault-Nissan alliance. PSA's Carlos Tavares will be chief executive and FCA's John Elkann — the scion of Italy's Agnelli family, which controls FCA through their holding company Exor — chairman of the combined company. The group will include the Fiat, Jeep, Dodge, Ram, Chrysler, Alfa Romeo, Maserati, Peugeot, DS, Opel and Vauxhall brands, allowing it to serve mass and premium passenger car markets as well as those for trucks and light commercial vehicles. Fiat previews new Toro sport-utility pickup

Fiat is preparing to roll out a new midsize pickup. We've seen spy shots of the prototype running around, but heavily camouflaged as it was, we didn't get much indication of what it would look like – and even less about its name. But now the Italian automaker has given us an indication of both. Previewed in the teaser image above is the forthcoming new Fiat Toro. The vehicle is billed as a "sport-utility pickup," which Fiat touts as a new segment, though there are already plenty of vehicles out there that aim to blur the line between pickup and SUV. Models like the Honda Ridgeline and Chevy Avalanche come to mind, but the Toro is likely to be smaller than either – more like the long-gone Ford Explorer Sport Trac that bridged the gap between the old truck-based Explorer and the Ranger pickup or the Subaru Baja. Whatever it ultimately looks like, the Toro will be limited – at least initially – to the Latin American market. There it's set to be introduced early next year by Fiat Automoveis Brasil, which also offers the Strada pickup car. Whether the Toro ever makes it out into other markets remains to be seen, but we wouldn't hold out too much hope of getting a Ram version this far north as Chrysler doesn't think there's a market for compact or mid-size pickups in America to replace the old Dakota. Ram recalling over 43k Promaster and C/V Tradesman vans for separate issues

Ram has announced that it will be recalling over 43,000 vehicles as part of a pair of campaigns targeting its two main cargo haulers, the ProMaster and C/V Tradesman.
In the case of its newer offering, the 2014 ProMaster, 21,470 vehicles are being recalled so that Ram dealers can replace the head restraints. The current restraints apparently leave too large of a gap between it and the occupant's head. Of the over 21,000 vans being recalled, nearly 19,000 are in the United States while the remaining 2,500 are in the barren tundra we call Canada.
For the old C/V Tradesman, meanwhile, its recall has been prompted by an investigation into the side-curtain and thorax airbag sensors. It was found that on vehicles lacking rear climate and audio systems in the back, a gap where these components should be could "generate a resonance" that could affect the sensors' operations. 22,115 vehicles are affected, covering model years 2013 through 2015. As with the ProMaster, the vast majority of vehicles are found in the United States, while just under 4,000 are in Canada.
