FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. If It Ain't Broke, Don't Fix It
Look at the 2013 Nissan Leaf - even one parked next to a 2012 model - and you'll be hard-pressed to spot the differences. Changes and updates have been made, but you have to know the details to tell. It's sort of like listening to a hipster tell you why Interpol and The National have completely different sounds.
Nissan says it didn't reinvent the Leaf because what the company has created is working. Over 25,000 Leafs have been sold in the US - 62,000 around the world - since the car went on sale in late 2010. That may not sound like a lot, but it's heads and shoulders above any other all-electric car available anywhere. The car has its detractors - boy, does it ever - but Nissan knows it's hard to argue with real-world success.

Renault plans to sail — literally, sail — on new class of cargo ship

Going green on the ocean may take another step toward reality in about two years, when Renault is expected to load automobiles aboard wind-powered ships for delivery around the world. The partnership between the car maker and Neoline, a French-based company, aims to reduce Renault’s global carbon footprint by eliminating many of the emissions from traditional fuel-powered cargo ships. Neoline officials said that, when propelled solely by the wind, their sailing ships' total emissions drop by as much as 90 percent. The roll-on-roll-off ships will use solid sails that are 50 meters tall. The company says it will start testing the program in 2024 by transporting vehicles to North America and other locales from Saint-Nazaire, in western France. Renault has pledged to achieve zero carbon in Europe by 2030 and worldwide by 2050. Renault, now part of an alliance with Nissan and Mitsubishi, hasnÂ’t sold cars in the U.S. market under its own brand name since 1987. A U.S. return as been considered for years, and the partners are now in talks that could reshape the alliance. The shipper's intent to deliver vehicles to North America is an intriguing wrinkle to those talks. The firm says that about 300 to 400 vehicles can be shipped on each Neoline vessel, although the loading will take longer that it would using a traditional cargo ship. A demonstration vessel shown was 446 feet in total length and had more than 45,000 square feet of sail.
