Nissan's Ghosn called out by Deltawing's Panoz in print ad

When the Nissan ZEOD RC limped to the side of the Circuit de la Sarthe a mere five laps into this year's 24 Hours of Le Mans, we imagine that a certain American motorsports figure at least smirked a little. Don Panoz's ongoing feud with Nissan probably means he wasn't sorry to see the arrow-shaped racecar's poor showing, and now he's stepping up his campaign against his former racing partner.
For those who need a refresher, back in 2012, Panoz and Nissan teamed up to field the DeltaWing, an innovative, wedge-shaped racer, as the first entry in the 24 Hours of Le Mans' experimental Garage 56 concept. The car rapidly became a fan favorite. The Panoz/Nissan alliance didn't last, though, and before long, the DeltaWing's designer was getting a paycheck from Nissan and the ZEOD RC racer arrived. Shortly after that, Panoz began mulling over a lawsuit alleging intellectual property infringement. The American motorsports icon would eventually pull the trigger on a suit back in December of 2013.
Panoz's latest move in the ongoing feud involves an open letter in both The Nashville Tennessean, the paper that serves Nissan's US headquarters, and trade paper Automotive News. The letter calls out Renault-Nissan CEO Carlos Ghosn directly, and points out some of the similarities between the DeltaWing and the ZEOD RC, going so far as to quote the original car's designer, Ben Bowlby.

FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Renault keeps 15% stake in Nissan, transfers majority of shares to French trust

Renault and Nissan completed a landmark deal to rebalance their 24-year-long alliance, paving the way for a new relationship after years of acrimony between the two partners. The automakers on Wednesday announced the creation of a French trust to which Renault transferred 28.4% of Nissan shares. The companies first disclosed plans for the trust in January. Renault Group and Nissan now have a cross-shareholding of 15% with lock-up and standstill obligations, the companies and junior alliance partner Mitsubishi Motors Corp. said in a statement. Renault managers in recent weeks have reiterated that staff should no longer share information with their Nissan counterparts, according to people familiar with the situation, after the French carmaker announced in September that aspects of the alliance would be unwound by year-end.  Taken together with the deal to equalize their cross-shareholdings at 15%, the developments are the clearest indications yet that members of one of the world’s biggest automotive tie-ups are increasingly going their separate ways. Renault told employees in September it was moving away from common structures with Nissan in favor of a new, project-by-project approach to working together. The dissolution of the companiesÂ’ joint purchasing organization means the two will no longer pool information on a regular basis due to antitrust concerns. The sell-down of shares held by the trustee will be coordinated with Nissan, which will have the right of first offer to purchase the stock. The trust will have no obligation to sell the shares within a specific or pre-determined period of time. The new alliance deal presented to investors in London in February followed months of tense negotiations that nearly collapsed late last year due to sticking points on intellectual property and disagreement over the valuation of RenaultÂ’s electric-vehicle and software arm Ampere, in which Nissan has agreed to invest. The alliance dates back to 1999, when Renault rescued Nissan with a cash injection and the two formed one of the biggest auto partnerships in the industry. Rivalries and mutual suspicion mounted over the years and came to a head when former leader Carlos Ghosn openly contemplated merging the two companies, contributing to his downfall.
