FCA compromises with France, moving Renault merger bid forward
Tue, Jun 4 2019FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. With fast chargers available along I-5 and many other highways, drivers can travel through large parts of the Northwest without worrying about being stranded. Most chargers are 20 to 30 miles apart throughout the network - which is helpful considering the extra energy needed to climb the many hills - but things get a little more difficult at the border with California. AJ Greentech Holdings will manufacture the electric crossover taxi, which can travel 186 miles on a single charge. "This contract will ensure that our initiative for revolutionizing green energy transportation is carried out," says AJ Greentech Holdings CEO Chu Li An. "By driving this e6 electric taxi, drivers will save 10,000 Taiwan dollars a year on transportation costs, an unparalleled deal, while at the same time, providing a safer environment for all the citizens of Taiwan." Read more at Hybrid Cars. Nissan and Ricker Oil are partnering to bring EV fast charging to Ricker's Convenience Stores in Indianapolis. Nissan Leaf customers who purchase beginning April 1 will be able to charge for free at the nine locations as part of the automaker's "No Charge to Charge" program. "In Indianapolis, we are taking bold steps to reduce our city's oil dependence," says Mayor Greg Ballard. "Growing our citywide network of EV charging stations is important as we transition the city's entire fleet off foreign oil and work with residents to increase their access to electric vehicles." Testing will take place in August at Donington Park in Leicestershire, England, where Formula E has its headquarters. Kayaba, Sumitomo to pay millions for price-fixing in US
Sat, Sep 19 2015Kayaba Industry Co, which does business in the US as suspension parts maker KYB, and Sumitomo Electric Industries are facing payments in the millions to settle price-fixing cases about the components that they make. As part of the Department of Justice's ongoing crackdown of price fixing in the auto industry, KYB agreed to pay $62 million and pleaded guilty to conspiracy to set the cost of shock absorbers from the mid '90s through 2012. The company allegedly worked with co-conspirators to keep the cost of the parts high, and those components then made it into vehicles from Honda, Kawasaki, Nissan, Subaru, Suzuki, and Toyota. "Any collusive agreement among competitors to restrict price competition undercuts our free enterprise system and violates the law," said Carter M. Stewart, US Attorney of the Southern District of Ohio, in the DoJ's announcement. Over the past few years, the DoJ has brought cases against 37 parts suppliers and 55 executives, leading to over $2.6 billion in fines. The investigations haven't always been so successful – some of the Japanese execs fled from the US to avoid prosecution. Critics allege that price fixing is simply how business is done. According to Automotive News, Sumitomo Electric Industries is also facing a $50 million settlement in a civil lawsuit that's related to price fixing of parts like wiring harnesses and heater control panels. The plaintiffs include owners and dealers that purchased vehicles with these parts. The company asserts that the violations are from before 2010, and it now has different process in place to avoid further violations. KYB Agrees to Plead Guilty and Pay $62 Million Criminal Fine for Fixing Price of Shock Absorbers Kayaba Industry Co. Ltd., dba KYB Corporation (KYB) has agreed to plead guilty and to pay a $62 million criminal fine for its role in a conspiracy to fix the price of shock absorbers installed in cars and motorcycles sold to U.S. consumers. According to charges filed today, KYB conspired from the mid-1990s until 2012 to fix the prices of shock absorbers sold to Fuji Heavy Industries Ltd. (manufacturer of Subaru vehicles), Honda Motor Co. Ltd., Kawasaki Heavy Industries Ltd., Nissan Motor Company Ltd., Suzuki Motor Corporation and Toyota Motor Company, including their subsidiaries in the United States.
