Nissan shareholders oust Carlos Ghosn from board of directors

TOKYO — Nissan's shareholders approved on Monday the ouster from the Japanese automaker's board of its former chairman, Carlos Ghosn, who is facing allegations of financial misconduct. The approval, which was expected, was indicated by applause from the more than 4,000 people gathered at a Tokyo hotel for a three-hour extraordinary shareholders' meeting. Other votes had been submitted in advance. Ahead of the vote, Nissan's top executive apologized to shareholders for the scandal at the Japanese automaker and asked them to approve Ghosn's dismissal. Chief Executive Hiroto Saikawa and other Nissan executives bowed deeply in apology to shareholders attending the extraordinary meeting at a Tokyo hotel. Shareholders also approved the appointment of French alliance partner Renault SA's Chairman Jean-Dominique Senard to replace Ghosn. Renault owns 43 percent of Nissan. Senard, introduced to shareholders at the meeting's end, thanked them and promised to do his best to keep the automaker's performance on track. "I will dedicate my energy to enhance the future of Nissan," said Senard. The shareholders also gave a green light to removing from the board a former executive direct, Greg Kelly, who has been charged with collaborating with Ghosn in the alleged misconduct. Angry shareholders demanded an explanation for how wrongdoing on an allegedly massive scale had gone unchecked for years. The meeting was closed except to stockholders but livestreamed. One shareholder said Nissan's entire management should resign immediately. Saikawa said he felt his responsibility lay in fixing the shoddy corporate governance at Nissan first, and continuing to lead its operations. Another shareholder asked if Nissan was prepared for a damage lawsuit from shareholders since its stock price has plunged. "I deeply, deeply apologize for all the worries and troubles we have caused," Saikawa said. "This is an unprecedented and unbelievable misconduct by a top executive." He outlined the findings of an internal investigation, such as payments of a consultation fee to Ghosn's sister for 13 years. The investigation has also found too much power had been focused in one person, he said. Ken Miyamoto, 65, a Nissan shareholder, said he was disappointed. "It is really such a pity as he was a brilliant manager," Miyamoto said of Ghosn before heading into the meeting.

The 2015 Liqui-Moly Bathurst 12-Hour race was run this weekend at the Mt. Panorama Circuit in Bathurst, Australia. Race photographer Joel Strickland sent us a huge batch of photos, all of which make us salivate for the switch to GT3 rules in the United SportsCar Championship; the top seven finishers at Bathurst were of seven different makes: Nissan GT-R NISMO GT3, Audi R8-LMS Ultra, Aston Martin Vantage GT3, Bentley Continental GT3, Mercedes SLS AMG GT3, Ferrari F458 Italia and Lamborghini Gallardo. It was a sweet victory for the No. 35 car driven by the NISMO Athlete Global Team after it crashed in Saturday qualifying, and then was only in third place on the penultimate lap. The three-man driving team included two GT Academy winners, one of whom, Florian Strauss, has only been a professional race car driver for 18 months. It's the first time the GT-R has won at Panorama since the original R32 "Godzilla" took back-to-back wins in 1991 and 1992. Second place went to the No. 15 Phoenix Racing Audi R8-LMS Ultra, 2.4 seconds behind the winners, third to the Craft Bamboo Racing Aston Martin Vantage not even half a second behind the Audi. The Bentley Motorsport team, in its first Bathurst 12-Hour with two cars, had its No. 10 Continental GT3 in the lead until the penultimate lap and in second place until the final corner, but crossed the line in fourth after some rubbin'-is-racin' action from chasers. Lebanon has 40 days to figure out what to do with Carlos Ghosn

BEIRUT — Lebanon and Japan have about 40 days to decide whether ousted Nissan boss Carlos Ghosn will be extradited to Japan or stand trial in Lebanon, a judicial source and a source close to Ghosn said on Thursday, following his escape from Japan. Ghosn fled to Lebanon, his childhood home, as he was awaiting trial on charges of under-reporting earnings, breach of trust and misappropriation of company funds, all of which he denies. Japan and Lebanon have no extradition agreement, and Lebanon does not typically hand over its nationals. Ghosn's legal team is hoping to hold the trial in Lebanon, where the former auto executive has deep ties and hopes to clear his name. Japan has in recent days asked Lebanon to clarify what files Tokyo needs to send as part of an official extradition request, the two sources said. "They came back and requested a clarification. Today, we sent that to the Japanese," the judicial source said. That communication is significant because, according to Lebanon's rules for dealing with Interpol notices, it triggers a roughly 40-day period by the end of which agreement must be reached between the countries on where and how Ghosn will stand trial, the sources said. Japan must now either send a formal extradition request to Lebanon or send Ghosn's file to Beirut and agree on a process for trying him there, the source close to Ghosn said. An Interpol spokesperson said on Friday the organization did not itself dictate a timeframe or require any action to be taken by countries and such a framework is set locally. Ghosn, who holds Lebanese, French, and Brazilian nationality, was questioned earlier this month by Lebanese prosecutors who confiscated his passport and imposed a travel ban as part of the Interpol arrest warrant process. The source close to Ghosn said the former executive can appeal to Lebanon's prosecutor to drop the ban and return his passport if Japan does not respond within the timeframe. Japanese prosecutors have said they are still pushing for Ghosn to be tried in Japan. Ghosn has struck out at what he has called Japan's unjust judicial system and said the alternative to fleeing would have been to spend the rest of his life languishing in Tokyo without a fair trial.
