Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Tesla is seeking approval for a limited-service showroom - or "Gallery" - in San Antonio, TX. The area's News 4 discovered the proposal in a schedule for the San Antonia planning commission. Texas laws don't allow Tesla to sell directly to consumers, so the gallery would offer the public a chance to see the car in person, but not take a test drive or get pricing information. The Tesla Gallery could be a foothold for Tesla in the San Antonio area, which, according to Bexar County Judge Nelson Wolff, would be a positive addition to the city and its future. Judge Wolff says that Tesla moving in "shows that San Antonio is up with technology, blends with other efforts that we're doing with solar power." Read more at ValueWalk. Kansas City Power & Light Company (KCP&L) will install over 1,000 ChargePoint EV charging stations in the greater Kansas City area. This will be the largest charging installation by a utility company in America. Drivers will be able to use these stations, which will be built by the end of this summer, for free for the first two years. The first 15 stations will be fast chargers provided by Nissan. KCP&L expects the charging network to help drive down electricity costs for customers in general. "People generally charge their cars at non-peak periods when KCP&L's electrical grid is being underutilized," says Natural Resources Defense Council Senior Energy Economist Ashok Gupta. "By stimulating electric vehicle adoption with their Clean Charge Network, what KCP&L is doing is encouraging people to use the electrical grid more efficiently and drive down the cost of electricity for everyone." Renault appoints Dacia Logan creator to head its Nano-rival program in India

After watching the Tata Nano post sales numbers smaller than its engine displacement, Renault gave up on its much publicized intention to build a truly inexpensive car to rival it. Then, a month ago, reports emerged that Renault was resuming work on a couple of low-priced cars for emerging markets, but this time it would work with its in-house partner, Nissan. That plan envisions an offering for €3,000 ($3,888 US) and another for €5,000 ($6,400 US), both of which would be more spendy than the Nano but might avoid the charge of being cheap - and nasty - and instead be considered affordable.
A report in Reuters talks to the man in charge, Gerard Detourbet, who has been in Chennai, India since at least August working on the program. Detourbet led the Dacia Logan project and is considered "Renault's low-cost car specialist" and "the father of entry-car programs." This one is reportedly codenamed A-Entry and will create a "'sub-entry' architecture" that will provide roominess beyond the vehicle's price and class, and use an engine with a displacement of 800 cubic centimeters.
It isn't aimed at the Nano, though - it means to take on the products that make up 45-50 percent of India's car market, like the Maruti Suzuki Alto and Hyundai Eon. According to Reuters, out of the 2.6-million-strong Indian car market the Maruti Suzuki line-up alone nabs one million registrations annually. The Alto 800 begins at 244,000 rupees ($4,440 US), the Eon at 300,000 rupees ($5,559 US), the Chevrolet Spark at about 316,000 ($5,750 US); if Renault can nail its price targets it will just about bracket those three and be right in the game.
